Our Leadership

CEO Sherri Turpin

Sherri joined ZVRS as CEO in July 2015; with over 25 years in the telecommunications industry and an emphasis on Business Strategy and Development, Sales, Marketing, Operations and Customer Experience; Sherri Turpin is a dynamic leader and a technology veteran. Prior to becoming CEO of ZVRS, Sherri served as the Channel Chief for EarthLink responsible for all aspects of the company’s indirect distribution channel which included accountability for full profit and loss, sales and revenue growth, and EBITDA contribution for the indirect channel.

Notably, Sherri has also served as Executive in Residence for Kinderhook Industries as well as with XO Communications in varying leadership roles. Sherri holds honors and awards for her leadership and innovation.

Since joining ZVRS, Sherri has become proficient in American Sign Language and is highly engaged in the Deaf community including serving as a member of the Board of Trustees for New York School for the Deaf (NYSD) in Fanwood as well as a member of the Foundation Board for the National Technical Institute for the Deaf (NTID) since 2016.

CFO Mike Flanagan

Mike joined ZVRS in February 2017 as the Chief Financial Officer. Prior to joining ZVRS, Michael was the Chief Financial Officer for the Enterprise Mid-Market Business Unit for EarthLink, where he helped drive Earthlink’s growth in the Enterprise Mid-Market Segment. From 1995 to 2015, Michael held a number of leadership positions within Finance and Operations at Earthlink.

Mike holds a B.B.A. from Emory University and an E.M.B.A. from Georgia State University. Mike is an avid runner and enjoys the outdoors with his wife Teresa and two children who reside in Longmont, CO.

COO Chris Wagner

Chris has been a member of the ZVRS Executive team since 2007, where he oversaw multiple teams, including marketing, sales, Enterprise solutions, field operations and customer experience. He brings over 25 years of management experience to ZVRS and is a nationally recognized leader in organizational management and board development. Chris served as president of the National Association of the Deaf, a civil rights organization for Deaf and hard of hearing Americans from 2012 to 2016, as well as Florida School for the Deaf and the Blind Board of Trustees and the National Technical Institute for the Deaf Foundation Board.

Chris received his degree in Social Work from Rochester Institute of Technology and his master’s degree in Organizational Leadership and Management from Colorado State University. During his free time, Chris enjoys spending time with his family on the Florida beaches and is working toward his goal to build a retreat cabin in the Blue Ridge mountains.


Chris Wagner
Chief Operations Officer, Customer Experience
CLO Greg Hlibok

Greg joined ZVRS in 2016 following his position as the Chief of Disability Rights at the Federal Communications Commission. He was responsible for administering a wide array of disability rulemaking proceedings and policy matters, including advancements of relay service and various issues on accessibility of communication technologies.

Greg holds a BA in Government from Gallaudet University and a JD from Hofstra University School of Law. He is a member of the Board of Trustees of his alma mater, Lexington School for the Deaf and Center as well as Gallaudet University. He is known for his leadership role during the Deaf President Now movement at Gallaudet University in 1988. Greg lives in Ellicott City, MD with his wife, Charmaine and four children. Greg manages to make time out of his busy schedule to enjoy traveling with his family- camping and scuba diving, and attending as the #1 fan at his kids’ sports games/concerts.

Caryn joined the Z family in 2015, and brings over 20 years of experience in the Telecommunications industry. Prior to ZVRS, she worked with Earthlink for 10+ years supporting various leadership roles in different areas of the telecommunications industry-including Operations, Service Delivery, Account Management and Sales Support.

As Chief Administrative Officer, Caryn oversees the administration of company policies, procedures and quality assurance and leads Human Resources and Marketing. Since joining ZVRS, Caryn has learned American Sign Language. Caryn relocated from Florida to Rocklin, CA and in her free time enjoys exploring with her husband Cleveland, all that the west coast has to offer in nature, music and art.

Fran joined the Purple Communications team in 2008 and brings extensive experience in Operations Management, Business Development and Project Management. Fran is a collaborative executive leader who is driven by her commitment to service and passion to provide growth opportunities for her team through education, program offerings and director mentoring. Fran currently leads Video Relay Services, Video Remote Interpreting, Community & CART operations along with Community Business Development and Sales.

Prior to joining Purple Communications, Fran spent over 20 years in senior and executive positions in the health care, pharmacy and hospice industry. Fran holds a B.S. degree in Business Administration from St. Mary’s College. Fran and her family who reside in Alamo, CA dedicate their time in supporting organizations such as Catholic Charities, Spinal Muscular Atrophy and Down Syndrome Connection. When not participating in community efforts, they enjoy concerts, theater and traveling.

CIO Bill Billbrough

Bill joined ZVRS in 2017 where he is responsible for technology strategy, architecture, operations, governance, and product development. He is a recognized enterprise change agent and business leader, known for developing a strategic vision and executing business transformation initiatives.

Prior to joining Z, Bill was Chief Security Officer for EarthLink. In addition to his role as CSO, Bill served EarthLink as Vice President of IT Infrastructure and Engineering, and Vice President of IT Development where he led multiple global initiatives that were instrumental to EarthLink’s successful transformation to a hosted technology and telecommunications services provider.

Bill earned his degree in Computer Science from Florida Atlantic University. As a licensed ship’s captain, Bill enjoys boats, and he along with his family are involved in the community and supporting local animal shelters.

CTO Zarko Roganovic

Zarko holds a 20-year professional career in technology, which does not include the years he spent reverse engineering anything within reach going all the way back to his first toy.

The past ten years of his career have been spent in the Telecommunications Relay Services (TRS) and Video Relay Services (VRS) industry holding a variety of technical and managerial positions from overseeing the Network Operations Center, to heading System Architecture, and most recently leading the Development and Test teams.

Zarko enjoys leading a team of talented and passionate engineers through success but even more so through the challenges where his leadership and out of the box thinking provides the highest value to the team and product development. He thrives in the ability to get into the bits and bytes of a technical problem and promote business strategy and technical deliverables that optimize the customer experience. Zarko enjoys the outdoor California lifestyle with his wife and two children.

A passionate and people-centric leader, AnnMarie brings over 25 plus years of diverse experience in telecommunications, retail and fitness industry. As a Deaf individual, she is intimately familiar with the challenges of engagement and inclusion which has influenced her professional aspirations. Recently, AnnMarie served as the Vice President of Operations responsible for leading key deliverables for increasing profitability, growing revenue and maximizing operational efficiencies.

Prior to ZVRS, AnnMarie served in various leadership roles including but not limited to Senior Vice President and COO of CSD, Vice President of Interpreting Operations and Director of Customer Experience. She received her B.S. degree at St. Cloud University in Business and Communications and Executive MBA from University of St. Thomas. In her free time, she enjoys creating personal cards, exploring country-theme interior designs and biking. She along with her husband Kenny and daughter Skylar reside in Atlanta, GA.

VP Tim Rarus

Tim joined ZVRS in 2006 and has enjoyed a 20+ career combining his love for advocacy with business. He comes from four generations of deaf family members and is known for his leadership and support of Deaf President Now (DPN). Prior to joining ZVRS, he worked with Communication Services for the Deaf (CSD) as vice president supporting community interpreting and video relay services. He currently leads residential sales with focus on expanding access for deaf people nationwide through video services.

Tim received his B.S. degree in Government from Gallaudet and began his first career as a staff assistant advising Senator John McCain on disability and ADA issues. During his leisure time, he enjoys cooking, navigating the waters and traveling internationally. Tim along with his wife Brandi and their four children reside in Austin, TX.

Norman joined the leadership team in 2018 where he is responsible for leading and supporting a nationwide sales team. With over 10+ years in VRS industry, he has a track record of successfully leading teams through strategic planning initiatives to drive maximization on revenue, productivity and execution. Prior to his current role, Norman worked with National Aeronautics and Space Administration (NASA) as a Resources Analyst.

Norman holds his B.A. degree from Gallaudet University in Communication Studies. When not on the computer or videophone, Norman and his family enjoy adventures especially traveling, camping, and exploring nature. He currently lives in Roseville, CA with his wife and two children.

Kama joined the ZVRS family in 2013 and has worked in the profession of interpreting for over 17 years. Prior to joining ZVRS, Kama was a staff interpreter at Arizona State University. She is a nationally certified interpreter and brings experience in leadership and interpreting in the business, education, community and video relay service industry. She previously served as an Operations Manager responsible for ZVRS Video Interpreters; recruiting, hiring and managing all activities related to operations. As the Executive Services Administrator to the Office of the CEO, Kama works closely with Sherri Turpin and the Executive Team. Kama is a child of deaf adults (CODA) and enjoys spending time with her husband and two sons.

VP Phil Bravin

In his position with ZVRS, Phil focuses on the next "big thing" in communication technology for deaf and hard of hearing people. He helped pioneer the development of CSD's (Communication Service for the Deaf) video relay service. He previously served as president and chief executive officer of the National Captioning Institute and worked for IBM for nearly 25 years in a variety of technical, management and marketing positions.

Phil holds a bachelor’s degree from Gallaudet University. He has served on Gallaudet University Board of Trustees for over 20 years, serving as chairman from 1988–1994. He is also a recipient of an honorary doctorate from Gallaudet University. He and his wife Judy reside in Chester, Vermont and take every minute to spend time with their children and grandchildren as well as traveling, snowshoeing and hiking.

VP Ray Nunez

Ray joined Purple Communications’ Leadership team in September 2018. He has more than 30 years of experience in finance and operations for companies across diverse industry sectors, including software technology, venture capital, and professional services. As a senior finance and operations executive, he specializes in strategic planning, growth financing, and rapidly scaling organizations. Ray’s experience working for companies at every size and stage of growth, from start-ups to those in the Fortune 100, provides valuable leadership for Purple Communications.

Ray is a Certified Public Accountant and Chartered Global Management Accountant. He received his Bachelor’s degree in Accounting from Santa Clara University and an MBA in Corporate Finance from UCLA Anderson School of Management. Ray enjoys coaching his son’s Little League team and fly fishing for wild trout in the Sierras with his family.

Greg has been with Purple Communications since the inception of the company. Prior to his tenure with Purple, Greg served as the Director of Virginia Operations for Purple legacy company Sign Language Associates. In addition, Greg taught in the ASL and Interpreter Preparation Program at Reynolds Community College and served in variety of leadership roles with Virginia RID and RID Region Two. Greg embraces a leadership philosophy of “Keep moving forward,” seeking opportunities to advance interpreters as they commit to connecting people across cultures, languages, and experiences.

Greg has more than 28 years of professional interpreting experience after having been raised in the Deaf and interpreting communities. He holds a degree in Linguistics from Virginia Commonwealth University and has studied extensively with Dr. Carol Patrie and her Effective Interpreting Series. Greg currently lives outside of Richmond, Virginia with Ben, his partner of 25 plus years. Most weekends you can find the two of them out picking furniture and décor for their mid-century modern antique business.

Purple Communications, Inc. (“we,” “our,” “Purple”) is committed to protecting our users’ and visitors’ privacy. This policy explains how we collect, use, share, and disclose personal information about you when you interact with or use our websites, products, and services.

• Internet or other electronic network activity information, including information regarding your interaction with our website; your type of computer and type of web browser; and your usage of our services (e.g., telephone numbers or IP address called and date, time, and duration of call).
• Geolocation data (e.g., the physical location from which you access Purple’s video relay services).
• Inferences drawn from any of the categories of information identified above to create a profile reflecting your preferences or similar characteristics, including information on your potential interest in new Purple products or services.
2. Sources of Personal Information
We may collect personal information directly from you or others acting on your behalf when you choose to: (i) use, register for, or purchase a service or product offered by Purple; (ii) send an email, fill out online forms, participate in surveys, or engage in other transactions or interactions with Purple or our service providers; or (iii) view or use our website, regardless whether you register or submit any personal information, in which case we will collect certain personal information and aggregate information (e.g., IP addresses) through cookies or other Web devices. We also may collect personal information from other sources as permitted by law, including our affiliates, regulatory authorities, third parties we interact with to provide you services (e.g., a hospital or other institution that uses our services at your direction to facilitate your care), or public websites or publicly available sources like government records.
In order to access certain Purple services, including video relay services, you have to complete an application or other registration form(s) and provide certain information reasonably necessary for us to provide the products and/or services you requested. We may collect the following types of information in registration form(s) and when you use our products or services: your name, your address(es) (i.e., physical location from where you access Purple services), your date of birth, the last four digits of your social security number, your email address(es), your phone number(s), your IP address(es), and your usage of our services (including quantity, technical configuration, type, destination, location, and amount of use). The information gathered from your use of our services is known as Customer Proprietary Network Information (“CPNI”).
3. Purposes for Collecting and Using Personal Information
Purple may collect or use your personal information for various business or commercial purposes, including to provide you with our products and services and to respond to your questions. We also use the information for editorial and feedback purposes, for marketing and promotional purposes, to inform advertisers as to how many visitors have seen or clicked on their advertisements, and to customize the content and layout of Purple's website. We also use the information we collect for statistical analysis of users' behavior, for product development, for content improvement, to ensure our products and services remain functioning and secure, and to investigate and protect against any illegal activities or violations of our Terms of Service. Purple may also use personal information in connection with federal or other legal requirements, such as responding to a subpoena or court order, providing information as required by Federal Communications Commission (“FCC”) regulations, or providing information for purposes of emergency communications. Aggregate data on home servers may be used for internal purposes or provided to third parties such as advertisers.
Personal information which visitors voluntarily provide to Purple (e.g., names, postal and email addresses, phone numbers) may be added to Purple's databases and used for future calls and mailings regarding website updates, new products and services, upcoming events, and status of orders placed online. With regard to the purposes for collecting and using personal information categorized as CPNI, please see below Section 8, “Use of Customer Proprietary Network Information.”
4. Disclosure of Personal Information
We may disclose information, including personal information, about you to: (i) businesses that provide services to us in connection with those services; (ii) regulators, other government agencies, or law enforcement as required or permitted by law, including the FCC and its service providers; (iii) our affiliates, meaning entities that are directly or indirectly controlled by us or who share common control with us, for the purposes detailed and subject to the limitations in this Policy; (iv) other parties in connection with a civil, criminal, or regulatory inquiry, investigation, subpoena, or summons; and (v) other parties at your direction or with your consent or as otherwise required or permitted by law. As indicated above, pursuant to FCC regulations we may disclose certain information, including personal information, to authorized companies or independent contractors (“authorized third parties”) in order to: (i) provide you with video relay products and services; (ii) install, maintain and repair our products and services; (iii) offer you additional video relay features and services of the type you already registered for with Purple; (iv) process 911 calls; or (v) process information on our behalf. These authorized third parties have agreed to certain confidentiality protections.
Aside from authorized third parties, Purple also may disclose to third parties information in aggregate form, that is publicly available, and/or that you intentionally direct Purple to disclose.
5. Use of Cookies
We use cookies to ensure that you get the most out of our website. Cookies are small amounts of information in the form of text files that we store on the device you use to access our website. Some of these cookies are necessary for the website to function or for us to provide you with certain services. We also use other cookies and similar tools to collect certain analytics data about your use of our website, additional detail provided below in Section 6. 8. Reasonable Security Measures
Purple will take reasonable steps and use security measures appropriate to the nature of the information at issue and that comply with applicable laws to protect customers’ personal information against unauthorized access and exfiltration, acquisition, theft, or disclosure. Given the nature of information security, there is no guarantee that such safeguards always will be successful.
9. Collection, Use, and Sharing of Customer Proprietary Network Information (CPNI)
CPNI is information that Purple and other relay providers obtain when providing customers with relay service. CPNI includes the types of relay a customer uses, the amount of relay calls made, and the location of those calls.
Purple will access, use, share, or disclose CPNI under the following limited circumstances: (i) to provide you with video relay service and phones; (ii) to process 911 calls; (iii) for installation, maintenance and repair of our products and services; (iv) to offer you additional video relay features and services of the type you already registered for with Purple; (v) in response to legal requirements such as subpoena or court order; (vi) upon request from the FCC’s Telecommunications Relay Service (“TRS”) Fund; (vii) to prevent fraud, abuse, or misuse of the service(s); and (viii) to protect the rights and property of Purple.
Purple and its affiliates may also use your CPNI to offer you products and services that may be different from the types of services you already use. Purple asks for your consent to do this during your registration process. Your denial or approval will not affect Purple’s provision of video relay services to you. At any time, you may choose to opt out of use of your CPNI for marketing purposes. Your approval or denial is valid until you choose to change it.
Customers have the right to deny any TRS provider the right to use, disclose, or permit access to customer CPNI for certain marketing purposes. TRS providers have a duty under federal law to honor your right to do so and to protect the confidentiality of CPNI.
If you wish to restrict Purple’s use of your CPNI for marketing purposes, you may do the following:
1. Login at www.Purple.com;
2. Go to the Email & Password section of your User Profile; and
3. Uncheck the CPNI Opt-in checkbox.

10. Opt-Out Right and Access to and Ability to Correct Personal Information
Visitors may opt out of having their personal information collected by Purple disclosed to third parties, or used by Purple or third parties to send promotional correspondences to the visitor, by contacting Purple via postal mail, email at the addresses below, or telephone 866-932-7891, or by checking the appropriate “opt-out” box in the User Profile page. Upon request via postal mail, email, or phone, Purple will provide to visitors a summary of any personal information retained by Purple regarding the visitor. Visitors may modify, correct, change or update their personal record or cause their personal record to be removed from Purple's database. Purple will only send personal records to the email address on file for the visitor name associated with it. 11. Collection of Personal Information from Children
Purple does not knowingly solicit or collect personal information from individuals under the age of 18 without parental consent. If you are under the age of 18, you are not authorized to register for Purple’s services, or submit any other information to us, via our website.
If you are the parent or guardian of a deaf or hard of hearing child under the age of 18 who wishes to use Purple’s products or services, you may register on behalf of your child via our website. After you provide the required registration information, you will receive an email with information regarding your child’s registration. The email will provide instructions for how to verify that you have provided registration information on behalf of your child and that you consent to the collection of certain personal information from your child.
As described further in the email, to provide such verification and consent, you must participate in a live videoconference with Purple Customer Care. You will be required to provide a government-issued photo identification to identify yourself. The email will also provide instructions for how you can delete your child’s registration profile, if you would like.
Through this Privacy Policy, Purple is giving you notice that, if you provide consent through the process outlined above, Purple (which is located at 595 Menlo Drive, Rocklin, CA 95765 and can be reached by phone at 866-932-7891 or by email at compliancedirector@purple.com) will collect personal information from your child. Purple may collect personal information from your child when necessary to allow your child to use our services and for us to provide associated support, including: first and last name; date of birth; IP address; information necessary to complete or receive a call, including the telephone number your child is calling or the telephone number your child receives the call from; and the date, time, and length of each call.
Purple will not condition your child’s use of Purple’s products and services on your consent to data collection beyond what is reasonably necessary for Purple to provide its products and services to your child. Purple’s products and services do not allow children to make their personal information publicly available.
Purple may use personal information that it collects from your child to provide video relay service support and to allow your child to use our services, such as completing and receiving calls and maintaining a contact list. Purple may also use personal information it collects from your child in connection with federal or other legal requirements, such as responding to a subpoena or court order, providing information as required by FCC regulations, or providing information for purposes of emergency communications.
You have the right to ask Purple to allow you to review information Purple has collected about your child, to stop collecting personal information about your minor child, or to delete information it has on file about your minor child at any time. You may exercise these rights by contacting Purple Customer Care at 866-932-7891. Purple will comply with your request within a reasonable time.
12. Rights and Information Applicable to California Residents
If you are a California resident, please review the following information about your potential rights with regard to your personal information under the California Consumer Privacy Act (“CCPA”). The rights described herein are subject to exemptions and other limitations under applicable law. Terms used in this section have the meaning given to them in the CCPA. Under the CCPA, Purple is a business. For purposes of this section only and with regard to California residents only, personal information includes information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with a California resident or a household. Personal information does not include deidentified information, aggregate consumer information, or publicly available information, as those terms are defined in the CCPA.
Our Collection, Use, Disclosure, and Sharing of Personal Information
  • In the preceding 12 months: (i) we may have collected all or some of the categories of personal information listed above in Section 1, and (ii) we may have disclosed all or some of the same categories listed in Section 1 for a business purpose.
  • We may collect personal information from all or some of the categories of sources listed in Section 2.
  • We may collect and use personal information for the business or commercial purposes listed above in Section 3.
  • We may share personal information with the categories of third parties listed in Section 4

Rights Applicable to California Residents
A user or visitor who is a California resident as defined under the CCPA may have certain rights concerning their personal information, subject to applicable exemptions and limitations, such as the right to:

  • Complete a transaction for which we collect the personal information, provide a good or service requested by you, or reasonably anticipated within the context of our ongoing business relationship with you, or otherwise perform a contract between us and you.
  • Use your personal information, internally, in a lawful manner that is compatible with the context in which you provided the information.
(3) Request that we, as a business that collects personal information about you and that discloses your personal information for a business purpose, disclose to you (“request to know”):
  • The categories of personal information we have collected about you.
  • The categories of sources from which we collected the personal information.
  • The business or commercial purpose for collecting or selling the personal information, where applicable.
  • The categories of third parties with whom we share personal information.
  • The specific pieces of personal information we have collected about you.
  • The categories of personal information we have disclosed about you for a business purpose.
(4) Not be discriminated against because you exercised any of your rights under the CCPA.
The CCPA does not restrict our ability to do certain things like comply with other laws or comply with regulatory investigations. In addition, the CCPA does not apply to certain information, including, generally, personal information collected, processed, sold or disclosed pursuant to the Health Insurance Portability and Accountability Act of 1995 and its implementing rules and regulations. We also reserve the right to retain, and not to delete, certain personal information after receipt of a request to delete by users or visitors where permitted by the CCPA or another law or regulation. For example, the FCC requires that we retain certain records for five years and we will continue to abide by this regulatory obligation even if we receive a request to delete such information during the relevant period.
How to Submit a CCPA Request
California resident users or visitors may submit requests to know or requests to delete through the following toll-free telephone number Purple Customer Care at 866-932-7891, or via email at help@Purple.com.
We are required to provide certain information or delete personal information only in response to verifiable requests made by you or your legally authorized agent. We may need to request specific information from you or your agent to help us confirm your identify or your agent’s authorization to act on your behalf and ensure your right to access the requested information. Any information gathered in this process will be used for verification purposes only.
We will deliver responses to verifiable consumer requests, free of charge, either through your online account with us, if you have such an account already, or, if you do not have a pre-existing online account, by mail or electronically, at your election.
We will try to respond to your requests to know or to delete within forty-five (45) days of receipt of the request. If we require more time, we will try to inform you of our need for an extension. Even with an extension, we will try to provide a response within ninety (90) days of initial receipt of the request.
Keep in mind that we are not required to provide information in response to requests to know more than twice in a 12-month period. Any response to a request to know will only cover the 12-month period preceding the verifiable request.

Purple reserves the right to contact website visitors regarding account status and changes to the subscriber agreement, Privacy Policy, or any other policies or agreements relevant to site visitors.

Registering for a Purple Local Ten-Digit Number

Purple provides functionally equivalent local ten-digit numbers. Call a Purple Customer Care Representative at 877-885-3172 to register for your own Purple ten-digit number. As part of the registration process, Purple will ask for your name, address, date of birth, and last four digits of your Social Security number. These are FCC registration requirements for VRS. The FCC has released a series of videos to explain these requirements, found at https://www.fcc.gov/general/trs-user-registration-database-faqs-asl-video.


Purple as Default Provider

By registering for a Purple local ten-digit number, you are selecting Purple as the default provider for the number. That means Purple will obtain from you the physical location from which you will use your Purple number, provide you with an easy way to update your registered location information if it changes, and route emergency 911 (E911) calls placed by you via Purple VRS.

You also have the following rights: (a) you may choose to register for a local ten-digit number from any provider you choose, (b) you may change default providers at any time, and in doing so, keep your local ten-digit number by transferring it to the new default provider, (c) you may place and receive calls through any provider you choose and, (d) no provider can condition the ongoing use or possession of equipment, or receipt of different or updated equipment, on you continuing to place VRS calls through and use that provider as default provider. You may also continue to use current video equipment after your change default providers, but you may lose certain features if you do. Toll-Free Numbers for VRS

If you would like a toll-free number, you will need to contact a toll-free services provider. You can find a list of providers at www.sms800.com. These toll-free service providers will charge a fee for their service. Per FCC rules, VRS providers can’t issue toll-free numbers to customers. If you would like to link your toll-free number to your Purple local ten-digit number, please contact Purple.



E911 Frequently Asked Questions


Q: What is E911?

A: E911 is a service the FCC requires that all relay providers offer. By offering E911, relay providers make it easier for you to dial 911 using video relay services to receive emergency assistance. You can read more about E911 here.


Q: Can I dial 911 using my video relay service?

A: Yes, but we recommend you call 911 using your TTY (if available) or landline for emergency calls to avoid possible life-threatening delays. If you need to contact 911 using relay, your relay provider will route your emergency call over the wireline E911 network to the nearest Public Safety Answering Point (PSAP) based on your registered address.

When using relay for your emergency calls, be sure to give your name, location and any important information clearly so the operator can quickly contact your local emergency response center.

Warning concerning the use of VRS for 911 calls: TTY calls are still the best means for emergency personnel to quickly identify a person's location. In an emergency, dial 911 using a landline telephone or a TTY to ensure immediate attention and identification of your location. At present, VRS cannot guarantee an immediate answer to your call nor transmit your location information directly to emergency responders.


Q: How do I call 911 using video relay?

A: Simply dial 911 from the relay device you're using (i.e. your Purple VRS software and/or apps, videophone, relay site on your computer or the relay application on your device with an Internet connection). Our operators will still verify your location even if you have a registered location on file. Be sure to clearly describe your emergency and any other identifying information at the beginning of the call.


Q: Why must I provide you with a physical location address for E911 service?

A: To make sure emergency personnel (police, fire, ambulance) know where to go if you have an emergency.


Q: Is a P.O. Box an acceptable address for E911 service?

A: No. The address you provide is the physical address where you want emergency personnel to go in an emergency. Emergency services cannot be dispatched to a post office box address. Here are examples of acceptable and unacceptable address formats:

Q: Must I notify my relay provider if I move or change my current address?

A: Yes, you must remember to update your E911 address information. You should do this so that if you are in need of help, emergency services personnel are dispatched to the correct address. It is your responsibility to ensure that this information is up to date.

You can update your E911 address information by signing into your account on http://purplevrs.com or calling Purple Customer Care at 877-885-3172. Purple will confirm receipt of your registered location information.


Q: What would happen if I was disconnected from the operator during a 911 call?

A: The operator would immediately attempt to call you back using your 10-digit phone number.


Q: What information should I provide when I call 911?

A: Be sure to tell the VI the following information:

  • Your current street address (where are you?)
  • Your name
  • Your emergency
  • Any additional information that will help emergency personnel

Q: How do I dial 911 through Purple VRS?

A: Most videophones, software applications and other devices that you can make and receive VRS calls from should allow you to dial the numbers "911" to reach emergency help.


About Local Number Portability


Q: What is Local Number Portability?

A: When you receive your local 10-digit phone number, it becomes yours to keep and use regardless of your relay provider. If you decide you want this number to be handled through a different relay provider after originally signing-up for your number, you can transfer your number to the VRS provider of your choice. The ability to do this is called "Local Number Portability" or "LNP" or "PORTING."


Q: Can I transfer my home phone number or my wireless number to my relay provider and use that as my local 10-digit number?

A: Yes. The FCC requires that any 10-digit number is allowed to be transferred. For questions about transferring your 10-digit phone number, please call Purple Customer Care at 877-885-3172.


Q: How do I port my number to Purple?

A: You will need to contact Purple Customer Care at 877-885-3172 and request that your number be number transferred. Transferring your number will require that you complete the Letter of Authorization (LOA) paperwork. The LOA paperwork will give Purple permission to transfer your number away from your current relay provider.


Q: Do I need to sign any papers in order to transfer my local 10-digit number?

A: Yes, you will be asked to authorize the transfer by submitting a Letter of Authorization (LOA) to your new provider.

The LOA is required by the FCC and informs Purple that you have proactively decided to transfer your phone number. In most cases this can be done electronically.


Q: How long does it take to transfer my number?

A: Typically, a transfer is completed within five business days; however, if the Letter of Authorization (LOA) paperwork is filled out incorrectly, the request to transfer will be denied by your current relay provider and you will have to complete the LOA paperwork again.


Q: Can I transfer my local 10-digit number from one relay provider to another relay provider?

A: Yes. You can always transfer your local 10-digit number to the relay provider of your choice.



Q: How do I stop telemarketers from calling my local 10-digit number?

A: If you wish to stop solicitation or telemarketing calls, you can register your 10-digit number on the National Do Not Call Registry. Go to http://donotcall.gov to register your number.

Your use of the service is affirmative acknowledgement of receiving and understanding the below advisory acknowledgements.


Purple Services are provided for the explicit purpose of accessing and using video relay interpreting services for the Deaf, Hard of Hearing and speech disabled (“Qualified Persons”). In order to download the Software and access the Services you must certify that you are a Qualified Person (i.e., Deaf, Hard of Hearing or speech disabled).


Do not use this service while operating a motor vehicle.


1. Definitions.

In these terms and conditions and policies, the following words shall have the following meanings:


“You” and “your” shall mean you, the end user of the Purple software and/or Purple Services. “Our,” “us,” and “we,” “Purple” “HOVRS,” and the “Company” shall mean Purple Communication, Inc., Purple Language Services Corp., their affiliates, as necessary, and their employees, independent contractors, licensors, and any other affiliated entities associated with providing you with VRS, including their successors. The “Service(s)”, “Video Relay Service” and “VRS” is a service which enables a deaf or hard of hearing user or a user with a speech disability to communicate over the telephone system through video equipment or software installed at the deaf or hard of hearing user’s location and at the video interpreter’s location. If the FCC or other government agency having jurisdiction expands the definition of Video Relay Service, that term shall be so expanded for the purposes of the Terms and Conditions. “Terms and Conditions” shall mean the terms and conditions and the acceptable use policies set forth herein and includes any other terms established by us regarding use of Purple Services that may be found on our websites or other documentation.


2. Acceptable Use Policies.

You certify that you have a hearing or speech disability, that you need VRS to be able to communicate with other people, and that you reside in the U.S. or U.S. territories. You further certify that you understand that the cost of VRS calls is paid for by contributions from other telecommunications users to the Interstate Telecommunications Relay Services Fund.


If you are a parent or guardian of a minor who is a qualified user and are registering on behalf of the minor, you must make all these certifications on behalf of the minor.


No Unlawful or Wrongful Use.


You agree:


-Not to use the Services for any unlawful purposes;


-Not to use the Services in ways that interfere with our ability to provide Services to you or other customers;


-Not to engage in communications or conduct of an unlawful nature (including without limitation indecent, obscene, illegal, fraudulent, threatening, harassing or prank calls) when using the Services and not to allow others to access your account to do so;


-Not to use the Services for waste, fraud or abuse of the telecommunications relay program;


-Not to threaten or harass any Purple video interpreter or to record the voice, image or likeness of any Purple video interpreter in any way other than as necessary to permit the provision of the Services, including video mail (PurpleMail); and


Not to violate or breach the security of Purple’s website, network or any computer or equipment owned by Purple.


Purple reserves the right to immediately discontinue your use of the Services in the event you engage in such activity. Purple has the right to discontinue or suspend, without advance notice, your use of Services if it becomes aware that you have breached the terms of the Terms and Conditions, and Purple reserves the right to investigate and actively pursue or stop any attempt to disrupt the Services to its customers, including asserting civil claims, cooperating with law enforcement and/or criminal prosecution as it deems necessary.


No replacement of in-person interpreting, inappropriate international or translation use. You may not use the Services to place international to international VRS calls, video remote interpreting calls in the guise of VRS calls, or use VRS as a means of allowing hearing telephone users to bypass domestic or international long distance toll charges. Nor may you use the Spanish or English versions of the Services as a means of allowing hearing telephone to conduct translation.


No Spam, unsolicited or bulk use. You agree not to use the Services, including communication tools and features that may be included with the Services such as video mail (PurpleMail), instant messaging and chat services to send unsolicited bulk communications, including through video mail or instant messages. Similarly, you may not authorize others to use your account or sub-accounts to send unsolicited bulk communications, or cause unsolicited bulk communications to be sent by someone else. You may not harvest or collect information about the Purple users, including Screen Names, and use that information for the purpose of sending unsolicited bulk communications


Right to investigate and seek damages. Purple reserves the right to investigate any improper or unlawful use of the Services or related equipment, or any breach of the Terms and Conditions and to seek reimbursement and damages, and the Company will not be liable for any cost or damage arising either directly or indirectly from your use or misuse of Services.


Confidentiality. Calls made through the Services are confidential. Except as permitted or required by law, Purple will not disclose any information from your (or other’s) conversations. Purple maintains technology and security features and policy guidelines in order to safeguard the privacy of relay calls and any customer identifiable information from unauthorized access or improper use, and Purple will continue to maintain such security procedures in accordance with its policies and those of the FCC or other relevant governmental agencies. Purple cannot control the content of other people’s conversations, and is not liable for call content that you may receive via the Services.


Registration information. You agree that all information contained on your registration for the Services is true and correct. You consent to Purple transmitting your registration information to the TRS User Registration Database as mandated by the FCC. Purple reserves the right to terminate your access to the Services at any time, if it should determine that any such information was or is untrue.


Privacy Matters. You understand and hereby acknowledge that your use of the Services requires that your voice and/or image may be recorded and transmitted over the Internet and/or the public telephone system. You further understand that due to the nature of the Internet, any privacy right, copyright or other right or interest in your voice, image or likeness may be lost with respect to any specific transmission as a result of such transmission. You authorize and specifically grant permission to Purple to record and transmit your voice, likeness and/or image over the Internet solely for the purpose of your use of the Services and the interpretation services provided by Purple, and further release and agree to hold Purple harmless from any and all responsibility for any such loss of rights and/or interests resulting from transmission of your voice, image and/or likeness over the Internet. You agree not to use or facilitate the use of the voice, image, and/or likeness of any Purple employee, contractor, or agent in any way other than for the purposes intended by the Company for performance of the Services.

3. Default Provider & Purple 10 digit numbers.

The FCC requires relay providers to offer functionally equivalent ten (10) digit telephone numbers. You must have a 10 digit number to make or receive calls using the Services, with the exception of 911 emergency calls. You must be a Qualified Person to register for a 10 digit number.


When you obtain a Purple telephone number, register with the Purple Services or when you download P3 software, you are selecting the Company as your “default” provider of VRS and TRS, which means that all VRS and TRS calls to and from your Purple ten-digit telephone number(s) assigned to your Purple account and/or P3 Software will be routed, by default through the Company’s Services.


Under the FCC rules, as your default provider, the Company will: (i) ask you for your physical location at which you will first use the Services to place VRS or TRS calls (your “Registered Location”); (ii) give you an easy way to update your Registered Location information if it changes, without cost; and (iii) route all emergency 911 calls placed from your Purple account through the Purple VRS or TRS to the appropriate emergency personnel and transmit the call-back number and your Registered Location, the Company’s name, and the identification number of the Company video interpreter handling the 911 call.


In addition, (1) you can obtain a telephone number from, and register with, the provider of your choice (notwithstanding any prior relationship you may have had with another provider); (2) you can change default providers at any time and, in doing so, retain your telephone number by porting the number to the new default provider; (3) you can make calls through, and receive calls from, any provider (and you are not limited to making or receiving calls through his or her default provider); and (4) providers cannot condition the ongoing use or possession of equipment, or the receipt of different or upgraded equipment, on you continuing to use the provider as its default provider.


Under the FCC rules you will also be able to transfer (or “port”) the Purple ten-digit number assigned to you to a default provider other than the Company. If you already have a ten-digit telephone number from a VRS or TRS provider other than the Company but would like to select Purple as your default provider you are able to easily port your telephone number to the Company -- please contact the Company customer care at Company’s Customer Care at 877-885-3172 or support@purple.us and they will assist you to port your number. PLEASE NOTE: If you elect to port your Purple ten-digit number assigned to Purple Services to another VRS or TRS provider, several of the features of Purple Services may no longer be functional, for example, and without limitation, access to the Purple Contact List, Speed Dial, Call History, PurpleMail, Web Browser, personal preferences, and Live Help features and functions may no longer be available or fully functional. Purple may assign you a new ten-digit number should you wish to continue to use these or other features on Purple software and/or equipment. Consumers are not limited in the number of providers or amount of ten-digit numbers they may have at one time, but each ten-digit number is assigned to only one “default” provider.


4. 911 Emergency Calls.

If you need to place an emergency call, you can dial the emergency 911 number through the Services. To make sure your 911 call is routed to the proper emergency response center and to make sure that the emergency response personnel can send help to your physical location, Purple (as your default provider) needs to obtain the address (the Registered Location) from where you are placing the emergency call. It is very important that you provide your Registered Location to your default provider; and if you change your physical location (e.g., move your primary residence) you should provide your new location to your default provider as soon as possible as it will take some time for the provider to update its records (which could affect the ability of the default provider to send your Registered Location to an emergency response team) -- you can update your registered location (physical location) in your account profile on the web at www.purplevrs.com or by contacting the Company customer care at (877) 885-3172 and they will assist you to update or change your Registered Location

PLEASE NOTE: LIMITATIONS OF RELAY- BASED 911 CALLS.


Purple advises you that any 911 emergency call should be made through a traditional text telephone (“TTY”), or (if a TTY is not available) through a standard telephone, when possible. Dialing 911 from a TTY or traditional phone remains the most reliable and fastest method of reaching emergency response personnel. If you use Purple Services to place a 911 Call, you should be aware that any such use is subject to important limitations and risks, see below.


Registered Location. You are responsible for providing your default provider, or other VRS provider if you use their Video Relay Services to place a 911 call, an up-to-date Registered Location, otherwise the provider may not be able to obtain your location information and route your call to the appropriate emergency center or provide your physical location. If you change your Registered Location (e.g., move your residence or take your VRS calling device to another location) you must update your default provider with your new location information. After you update your VRS or TRS provider with your Registered Location, it will take some time (hours or more if there are issues reading or entering the address information provided) to activate 911 service at the provided address, and if a 911 emergency call is made prior to activation then your call and the Registered Location information may not be automatically routed to the appropriate emergency personnel.


Technical and Other Trouble or Errors. It is possible that your location and any telephone number associated with your Purple account may not be automatically passed to the emergency service center or personnel when you use Purple Services to place a 911 emergency call, as a result of technical, device or software malfunction, equipment or VRS, TRS or human error. Technical errors may include a network outage or power outage, or degradation of your Internet service for another reason, cancellation or suspension of your broadband or ISP service or if your access or use of the Purple Services has been terminated, suspended, restricted, or cancelled, or if the Services (such as the P3 software) has been disabled, opened, altered or otherwise modified. Human error may include misinterpretation, mistakes, or your inability to provide the interpreter your address; in each case Purple may not be able to obtain your location or other relevant information and/or provide that information it to the appropriate emergency personnel.


Other providers. If you use Purple’s P3 Services to place a 911 emergency call through another VRS or TRS provider Purple will have no control over the manner in which the other provider will process and route the call. Similarly, if you do not elect Purple as your default provider but use a Purple device to place a 911 emergency call via Purple Services, Purple will likely not have access to your Registered Location in which case the interpreter will have to try and obtain that information during the 911 emergency call and then route the call as quickly as possible to the correct emergency response center by trying to locate the appropriate emergency response center based on the provided phone number.


Limitation and Waiver of Liability for 911 Calls. If you use the Services to make a 911 call, including without limitation the use of Purple Service to make a 911 call using any VRS or TRS provider, Company is not liable for any claim, damage or loss arising from your use of the Services to facilitate that call, including any liability in tort, contract, or otherwise for any property damage, personal injury or death arising out of or related to use of Services to make a 911 call, or the provision of any VRS, VRI, TRS or in-person interpreting services incident relating to such an emergency call, including but not limited to an act or omission involving (1) the development, design, installation, operation, maintenance, performance, or provision of the Services, including without limitation the Purple Service or related equipment, or any VRS, VRI, TRS or in-person interpreting services provided in connection with a 911 call or the provision of emergency services; (2) interruptions, delays, transmission errors, network outages, failures, defects, technical difficulties, acts of God, human error, misinterpretation, mistakes, or other occurrences, regardless of the source of the occurrence, that might arise during the handling or transmission of a 911 emergency call; and (3) release to an emergency response center or emergency center personnel, emergency medical service provider or emergency dispatch provider, public safety, fire service or law enforcement official, or hospital emergency or trauma care facility public safety answering point, designated statewide default answering point, of any user information related to 911 calls or to the delivery of emergency services.


As an emergency communications service provider, the Company shall also have immunity or other protection from liability in a State of a scope and extent that is not less than the scope and extent of immunity or other protection from liability accorded any local exchange carrier under Federal and applicable State law (whether through statute, judicial decision, tariffs filed by such local exchange company, or otherwise).


5. General Terms and Conditions.

Acquisition, License and Use Restrictions. By using Purple Services (and using or downloading Purple software), and agreeing to these Terms and Conditions, you are granted a right and license to use Purple software and Services subject to the Terms and Conditions; however, your right to use our Services is limited by the rights and interests retained by the Company and its licensors with respect to the proprietary intellectual property embedded in our Services, such as the proprietary software and firmware, copyrighted materials, the proprietary nature of which are protected by copyright, trademark, trade secret, and other intellectual property law. Your right to use the Services is strictly subject to your compliance with the Terms and Conditions. By using Purple Services you certify that you are deaf or hard of hearing.


No Sublicenses. You agree that the right and license to the Purple Services are granted to you only for your own (and family) personal or business use, and you agree not to rent, resell, sublicense, distribute, share, or assign and right to the Services (including without limitation your 10-digit number, any Purple software (such as the P3™ Software) to any party, without the prior approval of Purple; if you allow use and access to your family members or others, you agree that such members shall be subject to the Terms and Conditions, and you shall be responsible for their knowledge and compliance thereof, and you shall be liable for any violations by family members, or others, thereof.


No De-compilation or Reverse Engineering or copying of Services/software. You agree not to attempt to decompile, modify, extract, disassemble, take apart, or otherwise reverse-engineer or tamper with the Services (including without limitation the software or any related Purple equipment that may be provided with Services), nor to engage in any unauthorized copying of the Services, software and/or related materials. You may physically transfer the software from one computer to another provided that you do not retain any copies of the software on the original computer. However, you may not copy, rent, lease, sell, sublicense, assign, loan, time-share or otherwise transfer or distribute copies of the Services, including without limitation the software, or provide multiple user access to the Services by means of any network. Nothing in the Terms and Conditions and/or your use of Services gives you any right, title, or interest to Services or any aspect thereof, including but not limited to, any software, intellectual property rights, trademarks, copyrights or patents. You are expressly prohibited from asserting or filing registrations and/or applications for ownership of intellectual property rights in the Services in any country, nation, or jurisdiction throughout the world.


You are responsible for obtaining your own Internet access, including maintaining all telephone, computer hardware and other equipment (including all necessary hardware, firmware and/or software) needed for access to and use of the Services, and all charges related thereto. Any telephone or other communications charges incurred by you to use the Services are your responsibility. Purple may contact you via text messaging if you have provided that information to Purple. Your telecommunications carrier, such as a wireless carrier, may charge service fees for alerts, text messaging (including receiving/sending instant messages and e-mail), web browsing and other services that require the use of airtime and wireless data services. Check with your carrier to verify any fees that may apply to you.


6. Indemnification.

You agree that Purple shall not be responsible or liable for any claims or causes of action that arise from your use of the Services. Further, you agree to indemnify and hold the Company and its shareholders, officers, directors, employees, agents, and affiliated entities harmless for and from all costs, fees, expenses, and damages of any nature whatsoever related to any such claims or causes of action, including court and arbitration costs, attorneys’ fees, and the costs of other professionals, unless such claims are solely based on Purple’s willful intentional and gross misconduct. This provision of the Terms and Conditions will continue to apply after termination of your account with Purple and your use of the Services.


7. Limitations of Liability & Warranties.

In no event shall the Company, its officers, directors, employees, shareholders, parent corporations, subsidiaries or affiliates, be liable in connection with your use of any of the Services for punitive, reliance, or special damages, or for indirect or consequential damages, including but not limited to personal injury, lost profits or revenue or increased costs of operation. These limitations apply even if the damages are foreseeable or we are told they are possible, and they apply to any negligence claim that does not involve willful or intentional misconduct no matter how that claim is styled or on what legal grounds (such as contract, tort, statute, misrepresentation) on which it is based. If we nevertheless are found liable for any damage to person or property, the Company will in no event be liable for more than the amount of direct damages to the person or property.


Purple makes no warranties or representations of any kind regarding the Services and disclaims any and all warranties, express or implied, including but not limited to any warranties of merchantability, fitness for a particular purpose or use, quiet enjoyment, performance, or infringement. Purple also makes no warranty that our Service will be uninterrupted or error free. Purple does not authorize anyone, including, but not limited to, Purple employees, agents or representatives, to make a warranty of any kind on the Company’s behalf and you should not rely on any such statement or warranty. If you receive free equipment as part of the Services for any reason, you are liable for all sales, use, excise or income taxes that might be incurred by or levied upon you with respect to any other benefits received.


Equipment & Customer Care. If you receive equipment in connection with the Services, the Terms and Conditions set forth the full representations, warranties, and limitations of liability applicable to your use of the equipment. For warranty support or product return assistance please refer to the Terms and Condition. For issues related to the Services please visit solutions.purplevrs.com or contact Customer Care at 877-885-3172. Without limiting the generality of the foregoing, in the event of third-party claims of infringement regarding proprietary elements of the Services, the Company reserves the right, at its option to: (i) modify or replace the affected parts, so the Services becomes non-infringing, (ii) obtain for you the right to continue to use the Services or (iii) recall or terminate the Services and provide you with a pro rata refund of any amounts paid by you for the period of non-usage of the Services.


8. Dispute Resolution

This Section provides for resolution of disputes through final and binding arbitration before a neutral arbitrator instead of in a court by a judge or jury or through a class action. You may continue to have certain rights to obtain relief from a federal or state regulatory agency.


Binding Arbitration. The arbitration process established by this Section is governed by the Federal Arbitration Act (“FAA”), 9 U.S.C. §§ 1- 16. You have the right to take any dispute that qualifies to small claims court rather than arbitration subject to the venue provisions set forth below. All other disputes arising out of or related to the Services (whether based in contract, tort, statute, fraud, misrepresentation or any other legal or equitable theory) must be resolved by final and binding arbitration. The arbitration will be conducted by one arbitrator using the procedures described by this Section of the Terms and Conditions. If any portion of this Dispute Resolution Section is determined to be unenforceable, then the remainder shall be given full force and effect.


The arbitration of any dispute shall be conducted in accordance with the Commercial Arbitration Rules of the American Arbitration Association (“AAA”), as modified by the Terms and Conditions, which are in effect on the date a dispute is submitted to the AAA. In conducting the arbitration and making any award, the arbitrator shall be bound by and strictly enforce the terms of the Terms and Conditions and may not limit, expand, or otherwise modify its terms.


Before you take a dispute to arbitration or to small claims court, you must first write to us at the Purple Language Services Co. - Customer Care Department, 595 Menlo Drive, Rocklin, CA 95765 or at our email address, support@purple.us, and give us an opportunity to resolve the dispute. Similarly, before the Company takes a dispute to arbitration, the Company will first attempt to resolve it by contacting you. If the dispute cannot be satisfactorily resolved within sixty days from the date you or the Company is notified by the other of a dispute, then either party may submit the arbitration to the AAA.


Any claim or dispute arising out of the Services must be brought within 90 days of the date the basis for the claim or dispute first arises.


Notwithstanding anything in the Terms and Conditions, all actions arising from or pertaining to the Terms and Conditions and all disputes between the parties shall be initiated, maintained, and resolved in Placer County, State of California, USA.


9. Miscellaneous

Acts Beyond Our Control. Neither you nor the Company will be responsible to the other for any delay, failure in performance, loss or damage due to fire, explosion, power blackout, earthquake, volcanic action, flood, weather elements, strike, embargo, labor disputes, civil or military authority, war, terrorism, acts of God, acts or omissions of carriers or suppliers, acts of regulatory or governmental agencies, or other causes beyond our reasonable control.

Assignment. The Company may assign all or part of our rights or duties under the Services and the Terms and Conditions without notifying you. If the Company does that, the Company will have no further obligations to you. You may not assign any rights to the Service or the Terms and Conditions without our prior written consent.


Entire Agreement. The Terms and Conditions supersede all prior agreements, understandings, statements or proposals, and representations, whether written, oral or using sign language, regarding the Services. No written or oral statement, advertisement, or service description not expressly contained in the Terms and Conditions may contradict, explain, or supplement it. Purple may change the Terms and Conditions from time to time. If the Company makes any changes to the prices, charges or terms and conditions, the Company will post them on its web page at www.purplevrs.cpm.


Export Restrictions. You acknowledge that the products provided you hereunder may be subject to the export control laws and regulations of the United States of America, and other countries. You agree that you will not export or re export the products, any part thereof, or any process or service that is the direct product of a product (collectively the “Restricted Components”) to any country, person or entity subject to U.S. export restrictions. You specifically agree not to export or re-export any of the Restricted Components (1) to any country to which the U.S. has embargoed or restricted the export of goods or services, which currently include, but are not necessarily limited to Cuba, Iran, Iraq, Libya, North Korea, Sudan and Syria, or to any national of any such country, wherever located, who intends to transmit or transport the Restricted Components back to such country or (2) to any person or entity who has been prohibited from participating in U.S. export transactions by any federal agency of the U.S. government. You warrant and represent that neither the Bureau of Industry and Security (BIS) nor any other U.S. federal agency has suspended, revoked or denied your export privileges.


Governing Law. To the extent permitted by law, the Terms and Conditions will be governed by the law of the State of California, USA, without regard to its choice of law, rules, and the arbitration provisions of the Terms and Conditions will be governed by the Federal Arbitration Act. The provisions of the Terms and Conditions are further subject to the rules, regulations and policies of the Federal Communications Commission and any other governmental agency having jurisdiction of the subject matter of the Terms and Conditions. The Terms and Conditions shall be interpreted to the extent practicable to be in conformance with any applicable agency rule, regulation or policy and not in conflict therewith.


Government End Users. The Services and any associated equipment and documentation are “Commercial Items,” as that term is defined at 48 C.F.R. §2.101, consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation,” as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §227.7202-l through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government end users (1) only as Commercial Items and (2) with only those rights as are granted to all other end users pursuant to the terms and conditions herein. 1. Definiciones.

2. Políticas de Usos Aceptables.

Prohibición de usos ilegales o indebidos.


Usted acepta:


-No utilizar los Servicios para fines ilegales;


-No utilizar los Servicios de manera que interfieran con nuestra capacidad de prestarles servicios a usted o a otros clientes;


-No participar en comunicaciones o conductas de naturaleza ilegal al utilizar los Servicios (como por ejemplo, llamadas indecentes, obscenas, ilegales, fraudulentas, amenazantes, acosadoras o en broma), ni permitir que otros puedan acceder a su cuenta para hacerlo;


-No utilizar los Servicios para hacer uso fraudulento, ineficaz o abusivo del programa de transmisión de telecomunicaciones;


-No amenazar o acosar a ningún intérprete de video de Purple ni grabar la voz, la imagen u otro aspecto de un intérprete de video de Purple de ninguna manera más allá de lo que sea necesario para hacer posible la prestación de los Servicios, lo que incluye el correo de video (PurpleMail); y


-No violar ni infringir la seguridad del sitio web de Purple, su red ni otras computadoras o equipos propiedad de Purple.


No utilizar el correo electrónico para SPAM, correo no deseado ni masivo. Usted no puede recopilar información sobre los usuarios de Purple, incluidos los nombres de iChat o AIM, ni utilizar esa información con el fin de enviar comunicaciones masivas no solicitadas.


No realizar el reemplazo de interpretación en persona y el uso inadecuado internacional o de traducción. Usted no puede usar los Servicios para realizar llamadas de VRS internacionales desde un país distinto a los Estados Unidos, llamadas de interpretación remota por video en la forma de llamadas de VRS o utilizar el VRS como un medio para permitir que las personas sin problemas auditivos usen el teléfono con el fin de eludir los costos de llamadas nacionales o internacionales de larga distancia. Tampoco puede utilizar las versiones en español o inglés de los Servicios como un medio para permitir que las personas sin problemas auditivos usen el teléfono para llevar a cabo la traducción.


Derecho a investigar y reclamar daños y perjuicios. Purple se reserva el derecho a investigar cualquier uso indebido o ilegal de los Servicios o del equipo relacionado, o cualquier violación de los Términos y condiciones, y a reclamar el reembolso y los daños y perjuicios. La Compañía no será responsable de ningún gasto o daño que surja directa o indirectamente de su uso o mal uso de los Servicios.


Confidencialidad. Las llamadas realizadas por medio de los Servicios son confidenciales. A excepción de lo permitido o requerido por ley, Purple no revelará ninguna información de sus conversaciones (ni de otros) y no guardará ningún registro del contenido de la conversación. Purple mantiene pautas de políticas y dispositivos de seguridad y tecnología para salvaguardar la privacidad de las llamadas de retransmisión y toda la información personal del cliente, del acceso no autorizado o del uso indebido y Purple seguirá conservando dichos procedimientos de seguridad de conformidad con sus políticas y las de la FCC o de otros organismos gubernamentales pertinentes. Purple no puede controlar el contenido de las conversaciones de otras personas y no es responsable del contenido de la llamada que usted pueda recibir a través de los Servicios.


Información de registro. Usted acepta que toda la información contenida en su registro para acceder a los Servicios es verdadera y correcta. Usted presta su consentimiento para que Purple transmita su información de registro a la Base de Datos de Registro de Usuarios de TRS, según lo dispone la Comisión Federal de Comunicaciones (FCC, por sus siglas en inglés). Purple se reserva el derecho de cancelar su acceso a los Servicios en cualquier momento si determina que alguno de estos datos era o es falso.


Cuestiones de privacidad. Usted entiende y reconoce por el presente que su uso de los Servicios requiere que su voz y/o imagen se puedan grabar y transmitir por Internet y/o el sistema de telefonía pública. Asimismo, entiende que, debido a la naturaleza de Internet, cualquier derecho de autor, derecho a la propiedad intelectual u otro derecho o interés sobre su voz, imagen o parecido se puede perder con respecto a cualquier transmisión específica como resultado de dicha transmisión. Usted autoriza y otorga expresamente permiso a Purple para registrar y transmitir su voz, parecido y/o imagen por Internet únicamente con el fin de su uso de los Servicios y los servicios de interpretación proporcionados por Purple y además, libera y acepta eximir de responsabilidad a Purple ante cualquier pérdida de derechos y/o intereses que resulten de la transmisión de su voz, imagen y/o parecido por Internet. Usted acuerda no usar ni facilitar el uso de la voz, imagen y/o parecido de cualquier empleado, contratista o representante de Purple de ninguna manera, a excepción de con los fines de la Empresa para la prestación de los Servicios.


3. Proveedor predeterminado & números de 10 dígitos de Purple.

La FCC requiere que los proveedores de retransmisión ofrezcan números telefónicos de diez (10) dígitos con funcionalidades equivalentes. Usted debe tener un número de 10 dígitos para hacer o recibir llamadas usando los Servicios, con la excepción de las llamadas de emergencia al 911. Usted debe ser una Persona Calificada si desea registrarse para un número de 10 dígitos.


Cuando obtenga un número telefónico de Purple, se registre a los Servicios de Purple o descargue el software P3, usted seleccionará a la Empresa como su proveedor “predeterminado” de VRS y TRS, lo que significa que todas las llamadas de VRS y TRS hacia y desde su número telefónico de diez dígitos de Purple asignado a su cuenta de Purple y/o software P3 serán enrutadas, en forma predeterminada, a través de los Servicios de la Empresa.


Según las normas de la FCC, como su proveedor predeterminado, la Empresa hará lo siguiente: (i) le pedirá su ubicación física en la cual usted utilizará por primera vez los Servicios para pedir las llamadas de VRS o TRS (su “Ubicación Registrada”); (ii) le proporcionará una manera sencilla de actualizar su información sobre la Ubicación Registrada en caso de cambios, sin costo alguno, y (iii) enrutará todas las llamadas de emergencia del 911 que realice desde su cuenta de Purple a través de Purple VRS o TRS al personal de emergencia pertinente y transmitirá el número de devolución de llamada y su Ubicación Registrada, el nombre de la Compañía y el número de identificación del intérprete de video de la Compañía que maneja la llamada al 911.


Además, (1) usted puede obtener un número de teléfono, y registrarse, con el proveedor de su elección (pese a cualquier relación previa que pueda haber tenido con otro proveedor); (2) se puede cambiar de proveedor predeterminado en cualquier momento y, de hacerlo, puede conservar su número de teléfono y portarlo a su nuevo proveedor predeterminado, (3) usted puede hacer y recibir llamadas a través de cualquier proveedor (y no está limitado a hacer o recibir llamadas a través de su proveedor predeterminado); y (4) los proveedores no pueden condicionar la utilización en curso o posesión de equipo, o la recepción de equipo diferente o actualizado, a que usted continúe utilizando al proveedor como proveedor predeterminado.


De acuerdo con las reglas de FFC, usted también podrá transferir (o “migrar”) el número de ten dígitos de Purple que le fue asignado a un proveedor estándar distinto de la Compañía. Si usted ya tiene un número de teléfono de diez dígitos de un proveedor de VRS o TRS que no es la Compañía pero le gustaría seleccionar a Purple como proveedor estándar, puede migrar su número de teléfono a la Compañía muy fácilmente. Por favor, póngase en contacto con el Servicio de Atención al Cliente de la Compañía al 877-885-3172 o a support@purple.us, y ellos lo ayudarán a migrar su número. POR FAVOR, TENGA EN CUENTA: Si elige migrar su número de diez dígitos de Purple asignado a Purple Servicies a otro proveedor de VRS o TRS, es posible que varias de las características de Purple Services ya no funcionen. Por ejemplo, las características y funciones del acceso a la lista de contactos de Purple, el marcado rápido, el historial de llamadas, el correo PurpleMail, el navegador de internet, las preferencias personales y la ayuda en vivo, entre otros, pueden no estar disponibles o no funcionar por completo. Purple puede asignarle un nuevo número de diez dígitos si desea seguir utilizando estas u otras características del software o el equipo de Purple. Los consumidores no tienen límites en la cantidad de proveedores o la cantidad de números de diez dígitos que pueden tener al mismo tiempo, pero cada número de diez dígitos se asigna solo a un proveedor estándar.


4. Llamadas de Emergencia al 911.

Si necesita realizar una llamada de emergencia, usted puede marcar el número de emergencia 911 a través de los Servicios. Para asegurarse de que su llamada al 911 sea enrutada al centro adecuado de respuesta a emergencias y para asegurarse de que el personal de respuesta a emergencias pueda enviar ayuda a su ubicación física, Purple (como su proveedor predeterminado) necesita obtener la dirección (la Ubicación Registrada) desde donde usted realiza la llamada de emergencia. Es muy importante que usted suministre su Ubicación Registrada al proveedor predeterminado y, si cambia su ubicación física (por ejemplo, mudanza de su residencia principal), debe proporcionar su nueva ubicación al proveedor predeterminado a la mayor brevedad posible, ya que le llevará un poco de tiempo al proveedor actualizar los registros (lo que puede afectar la capacidad del proveedor predeterminado para enviar su Ubicación Registrada a un equipo de respuesta a emergencias). TENGA EN CUENTA QUE: LIMITACIONES DE LAS LLAMADAS AL 911 POR MEDIO DE LA RETRANSMISIÓN.


Purple le aconseja que cualquier llamada de emergencia al 911 se realice a través de un teléfono tradicional de texto (“TTY”) o ( si no está disponible un TTY) a través de un teléfono estándar, cuando sea posible. Marcar el 911 desde un TTY o un teléfono tradicional sigue siendo el método más rápido y confiable de contactarse con el personal de respuesta a emergencias. Si utiliza los Servicios de Purple para realizar una llamada al 911, debe saber que cualquier uso está sujeto a limitaciones y riesgos importantes, como se indica a continuación.


Ubicación Registrada. Usted es responsable de brindar su Ubicación Registrada actualizada a su proveedor predeterminado o a otro proveedor de VRS si usted usa sus Servicios de Retransmisión por Video para realizar una llamada al 911; de lo contrario, el proveedor no podrá obtener la información de su ubicación enrutar su llamada al centro adecuado de emergencias o proporcionar su ubicación física. Si cambia su Ubicación Registrada (por ejemplo, cambia su lugar de residencia o traslada su dispositivo de llamadas de VRS a otro lugar), usted debe poner al día a su proveedor predeterminado con respecto a la información de su nueva ubicación. Después de que actualice a su proveedor de VRS o TRS con respecto a su Ubicación Registrada, llevará un poco de tiempo (horas, o más si surgen problemas para leer o ingresar la información proporcionada sobre la dirección) activar el servicio del 911 en la dirección suministrada y, si se realiza una llamada de emergencia al 911 antes de la activación, la información de su llamada y del Lugar Registrado quizás no se enrute automáticamente al personal adecuado de emergencia.


Errores o problemas técnicos o de otra índole. Es posible que su ubicación y cualquier número telefónico asociado con su cuenta de Purple no pueda enviarse automáticamente al personal o al centro de servicio de emergencias cuando utilice los Servicios de Purple para realizar una llamada de emergencia al 911, como resultado de un error humano o técnico, como del TRS, del VRS o del equipo, o el mal funcionamiento de un software o dispositivo. Los errores técnicos pueden incluir una interrupción en la red o corte de energía, degradación de su servicio de Internet por otra razón, cancelación o suspensión de su banda ancha o servicio de ISP o el hecho de que su acceso o uso de los Servicios de Purple haya finalizado, haya sido suspendido, restringido o cancelado o los Servicios (como el software P3) hayan sido deshabilitados, abiertos, alterados o modificados de cualquier otro modo. El error humano puede incluir mala interpretación, equivocaciones o su incapacidad para proporcionar al intérprete su dirección; en cada caso, Purple no podrá obtener su ubicación u otra información relevante y/o suministrar esa información al personal de emergencia adecuado.


Otros proveedores. Si usted usa los Servicios P3 de Purple para realizar una llamada de emergencia al 911 mediante otro proveedor de VRS o TRS, Purple no tendrá ningún control sobre cómo procesará y enrutará la llamada el otro proveedor. De igual modo, si usted no elige a Purple como su proveedor predeterminado pero usa un dispositivo de Purple para pedir la llamada de emergencia al 911 por medio de los Servicios de Purple, probablemente Purple no tendrá acceso a su Ubicación Registrada. En este caso, el intérprete tendrá que intentar obtener esa información durante la llamada de emergencia al 911 y entonces enlutar la llamada tan rápidamente como sea posible al centro correcto de respuesta a emergencias, al intentar ubicar el centro adecuado de respuesta a emergencias en función del número telefónico proporcionado.


Limitación y exención de responsabilidad de las llamadas al 911. Si usted usa los Servicios para realizar una llamada al 911, incluso, entre otros, el uso del Servicio de Purple para hacer una llamada al 911 con cualquier proveedor de VRS o TRS, la Compañía no es responsable de ningún reclamo, daño o pérdida que surja de su uso de los Servicios para facilitar esa llamada, incluida cualquier responsabilidad extracontractual, contractual o por cualquier daño a la propiedad, lesión personal o muerte que surja de o se relacione con el uso de los Servicios para hacer una llamada al 911 o el incidente que surja de la prestación de cualquier servicio de VRS, VRI, TRS o interpretación en persona en relación con dicha llamada de emergencia, entre otros, un acto u omisión que involucre (1) el desarrollo, el diseño, la instalación, la operación, el mantenimiento, la ejecución o la prestación de los Servicios, entre otros, el Servicio de Purple o equipo relacionado o cualquier servicio de VRS, VRI, TRS o interpretación en persona, en relación con una llamada al 911 o con la prestación de servicios de emergencia; (2) interrupciones, demoras, errores de transmisión, interrupciones en la red, fallas, defectos, dificultades técnicas, actos de fuerza mayor, error humano, malentendido, errores u otros hechos, más allá de la fuente del suceso que podría surgir durante el manejo o la transmisión de una llamada de emergencia al 911; y (3) divulgación de cualquier información del usuario relacionada con las llamadas al 911 o con la entrega de servicios de emergencia a un centro de respuesta a emergencias o al personal del centro de emergencias, al proveedor del servicio médico de emergencia o al proveedor de envío de emergencia, a la seguridad pública, al personal de las fuerzas de seguridad o de servicio de bomberos, al punto de respuesta de seguridad pública del centro de atención de trauma o de emergencia del hospital y al punto de respuesta predeterminado

Como proveedor de servicios de comunicación de emergencia, la Compañía también tendrá inmunidad u otra protección de responsabilidad en un Estado, de alcance y magnitud tales que no sean menores que el alcance y la magnitud de la inmunidad u otra protección de responsabilidad otorgada a cualquier compañía de telefonía local según la ley estatal aplicable y la ley federal (ya sea por ley, decisión judicial, tarifas presentadas por dicha compañía u otras).

5. Términos y Condiciones Generales.

Adquisición, licencia y restricciones de uso. Al utilizar los Servicios de Purple (y al usar o descargar el software de Purple) y al aceptar estos Términos y Condiciones, a usted se le otorga un derecho y una licencia para utilizar el software y los Servicios de Purple según los Términos y Condiciones; sin embargo, su derecho a usar nuestros servicios está limitado por los derechos e intereses que retiene la Compañía y sus concedentes de licencias con respecto a los derechos de propiedad intelectual incluidos en nuestros Servicios, como el software y firmware, los materiales protegidos por derechos de autor, el carácter de patentado de aquello protegido por derechos de autor, marca registrada, secreto comercial y otra ley de propiedad intelectual. Su derecho a utilizar los Servicios está estrictamente sujeto al cumplimiento por su parte de los Términos y Condiciones. Al utilizar los Servicios de Purple, usted certifica que es sordo o tiene problemas auditivos.

Prohibición de conceder sublicencias. Usted acepta que el derecho y la licencia para utilizar los Servicios de Purple se le otorgan con exclusividad para su uso personal (y familiar) o comercial, y además acepta no alquilar, revender, sublicenciar, distribuir, compartir o ceder ningún derecho a los Servicios (incluidos, entre otros, su número de 10 dígitos o cualquier software de Purple como el software P3™) a ninguna persona, sin la aprobación previa de Purple; si usted permite el uso y acceso a miembros de su familia o a otros, usted acepta que dichas personas estarán sujetas a los Términos y Condiciones, usted será responsable de que conozcan y cumplan los mencionados Términos y Condiciones y responderá por cualquier incumplimiento en que incurran los miembros de su familia u otros.

Prohibición de descompilar o de realizar ingeniería inversa o copia de los Servicios o el software. Usted acuerda que no intentará descompilar, modificar, extraer, desensamblar, desmontar, realizar ingeniería inversa o alterar los Servicios (incluidos, entre otros, el software o cualquier equipo relacionado con Purple que pueda brindarse con los Servicios) ni intervenir en ninguna copia no autorizada de los Servicios, del software y/o materiales relacionados. Usted puede trasladar físicamente el software desde una computadora a otra siempre que no retenga ninguna copia de dicho software en la computadora original. Sin embargo, no puede copiar, alquilar, arrendar, vender, sublicenciar, ceder, prestar, compartir, ni transferir o distribuir de ninguna otra manera copias de los Servicios, entre los que se encuentran, entre otros, el software, ni proporcionar acceso a los Servicios a múltiples usuarios mediante ninguna red. Nada en los Términos y Condiciones ni su utilización de los Servicios le conceden a usted ningún derecho, titularidad ni participación sobre los Servicios o sobre cualquiera de sus características, incluidos, entre otros, cualquier software, derechos de propiedad intelectual, marcas registradas, derechos de autor o patentes. Usted tiene expresamente prohibido hacer valer derechos o presentar inscripciones o solicitudes de titularidad de derechos de propiedad intelectual sobre los Servicios en cualquier país, nación o jurisdicción de todo el mundo.

6. Indemnización.

Usted es responsable de obtener su propio acceso a internet, lo que incluye el mantenimiento de teléfonos, equipos informáticos y otros equipos (entre ellos, todo el hardware, el firmware y el software necesarios) que se requieran para acceder a los Servicios y utilizarlos, y todos los costos relacionados. Cualquier costo de comunicación telefónica o de otro tipo en el que incurra para usar los Servicios será su responsabilidad. Purple puede ponerse en contacto con usted vía mensaje de texto si usted ha suministrado esa información. Su operador de telecomunicaciones, que puede ser un operador de telefonía móvil, puede cobrarle cargos por servicio de alertas, mensajes de texto (que incluyen recibir/enviar mensajes instantáneos y correos electrónicos), navegar en internet y otros servicios que requieran el uso de servicios de datos móviles y tiempo de emisión. Consulte con su operadora para verificar cuáles son los costos que podrían aplicarse.

Usted acepta que Purple no será responsable de cualquier demanda o causa legal que se origine del uso que usted haga de los Servicios. Además, usted acuerda indemnizar y eximir a la empresa, sus accionistas, funcionarios, directores, empleados, agentes y entidades afiliadas de toda responsabilidad que surja de todos los costos, tarifas, gastos y daños y perjuicios de cualquier naturaleza relacionados con dichas demandas o causas incluidas las costas procesales y de arbitraje, los honorarios de abogados y de otros profesionales, salvo que dichas demandas tengan su fundamento exclusivamente en una conducta dolosa, grave e intencional por parte de Purple. Esta disposición de los Términos y Condiciones seguirá vigente después de la finalización de su cuenta con Purple y de su utilización de los Servicios.

7. Limitaciones de Responsabilidad y Garantías.

En ningún caso la Empresa, sus funcionarios, directores, empleados, accionista, compañías matrices, subsidiarias o filiales, serán responsables, en relación con su utilización de cualquiera de los Servicios, de daños punitivos, especiales o por abuso de confianza, daños indirectos o resultantes, incluso, entre otros, daños por lesiones personales, por lucro cesante o por incremento de costos de operación. Estas limitaciones se aplican incluso si los daños son previsibles o se nos ha informado sobre su posibilidad y se aplican a cualquier demanda por negligencia que no implique la conducta dolosa y deliberada, más allá de cómo se caratuló la demanda o sobre qué fundamentos legales (contractuales, extracontractuales, dispuestos por ley, distorsión de los hechos) se basó. Si de todas maneras se nos encuentra responsables de cualquier daño personal o a la propiedad, la Compañía en ningún caso será responsable de algo más que del monto de los daños directos a la persona o a la propiedad.

Purple no da garantías de ningún tipo respecto de los Servicios y niega todas y cada una de las garantías, expresas o implícitas, como, entre otras, las garantías de comerciabilidad y adecuación a un fin o uso determinado, goce tranquilo, rendimiento o incumplimiento. Purple tampoco da garantías de que nuestro Servicio será ininterrumpido ni estará libre de errores. Purple no autoriza a ninguna persona, incluidos, entre otros, los empleados, agentes o representantes de Purple, a dar garantías de ningún tipo en nombre de la Empresa y usted no debe confiar en ninguna de estas declaraciones o garantías. Si recibe equipo gratuito como parte de los Servicios por cualquier razón, usted es responsable de todos los impuestos a las ventas, al uso, al consumo o a las ganancias en los que pudiera incurrir o se le pudieran imponer respecto de cualquier otro beneficio recibido.

Equipo y atención al cliente. Si recibe equipo en relación con los Servicios, los Términos y condiciones establecen las declaraciones, garantías y limitaciones de responsabilidad, en su totalidad, aplicables a su utilización del equipo. Para asistencia sobre la garantía o la devolución de productos, consulte los Términos y Condiciones. Para asuntos relacionados con los Servicios, visite solutions.purplevrs.com o comuníquese con el servicio de atención al cliente al 877-885-3172. Sin limitar la generalidad de lo precedente, en el caso de que reclamaciones de terceros por incumplimiento respecto de elementos patentados de los Servicios, la Empresa se reserva, a su elección, el derecho de: (i) modificar o reemplazar las partes afectadas, de manera que los Servicios no estén en infracción, (ii) obtener para usted el derecho a continuar utilizando los Servicios o (III) retirar o finalizar los Servicios y brindarle un reintegro prorrateado de cualquier monto que usted haya pagado durante el período que no usó los Servicios.

8. Resolución de Controversias

Esta sección prevé la resolución de controversias mediante el arbitraje final y vinculante ante un árbitro imparcial en lugar del recurso judicial con un juez o un jurado o a través de una demanda colectiva.
Usted puede continuar teniendo ciertos derechos a obtener reparación judicial por parte de un organismo regulador estatal o federal.

Arbitraje vinculante. El proceso de arbitraje establecido en esta sección se rige por la Ley Federal de Arbitraje (“FAA”, por sus siglas en inglés), 9 U.S.C. §§ 1- 16. Usted tiene derecho a llevar cualquier controversia que califique ante los tribunales con competencia en asuntos menores en lugar de recurrir al arbitraje, sujeto a las disposiciones relativas a la jurisdicción que se establecen a continuación. Todas las otras controversias relacionadas con los Servicios o que surjan de ellos (así tengan fundamentos contractuales, extracontractuales, dispuestos por ley, fraude, distorsión de los hechos o con cualquier otro equivalente) deben resolverse mediante el arbitraje final y vinculante. El arbitraje será dirigido por un árbitro que utilizará los procedimientos descritos en esta sección de los Términos y condiciones. Si se determina que alguna parte de esta sección de Resolución de Controversias no se puede hacer cumplir, entonces se les otorgará a las partes restantes plena vigencia.

El arbitraje de una controversia se llevará a cabo conforme a las Normas Comerciales de Arbitraje de la Asociación Americana de Arbitraje (“AAA”), y las modificaciones que estipulen los Términos y Condiciones, que estén en vigencia en la fecha en que dicha controversia se presente ante la AAA.
Al conducir el arbitraje y dictar un laudo, el árbitro estará obligado por el contenido de los Términos y Condiciones, a hacerlos cumplir estrictamente y no podrá limitar, ampliar o modificar dicho contenido.
Antes de que usted someta a arbitraje una controversia o la lleve ante tribunales con competencia en asuntos menores, primero debe escribirnos a Purple Language Services Co. - Customer Care Department, 595 Menlo Drive, Rocklin, CA 95765 o a nuestra dirección de correo electrónico support@purple.us y darnos la oportunidad de resolver la controversia. De igual manera, antes de someter una controversia a arbitraje, la Compañía intentará primero resolverla contactándose con usted. Si la controversia no puede resolverse satisfactoriamente en un período de sesenta días a partir de la fecha en la que usted o la Compañía reciben la notificación de la otra parte, entonces cada parte puede someterse al arbitraje de la AAA.
Cualquier reclamación o controversia originada en los Servicios debe presentarse dentro de los 90 días a contar de la fecha en que surgió por primera vez el motivo de dicha reclamación o controversia.

Sin perjuicio de algún contenido de los Términos y Condiciones, todas las acciones pertinentes a los Términos y Condiciones o que surjan de ellos y todas las controversias entre las partes se presentarán, sostendrán y resolverán en el Condado de Placer, estado de California, EE. UU.

9. Disposiciones varias

Circunstancias fuera de nuestro control. Ni usted ni la Empresa serán responsables ante el otro de cualquier demora, incumplimiento, pérdidas ni daños ocasionados por incendio, explosión, corte de energía, terremoto, erupción volcánica, inundación, factores climáticos, huelga, embargo, disputas laborales, intervención de autoridad civil o militar, guerra, terrorismo, circunstancias de fuerza mayor, acciones u omisiones de compañías de telefonía o proveedores, acciones de organismos reguladores o gubernamentales u otras causas más allá de nuestro control razonable.

Emergency Calling during a Service Interruption

There are three alternative options for placing an emergency call.

1. Call from your mobile phone by dialing 911 directly and stay on the line until they send emergency personnel such as a police officer or an emergency medical responder to you. Be sure to call from the location of the emergency.

2. Call from your landline telephone by dialing 911 directly and stay on the line until they send a police officer or an emergency medical responder to you. Be sure to call from the location of the emergency.

3. Use a TTY to call 911. Even though TTY is an old device and rarely available, it remains a very reliable method for calling for an emergency assistance.

Text to 911

You may reach out for an emergency service by sending a text message to 911. However, text-to-911 is currently available in certain locations. You need to check with your wireless phone company to see whether text-to-911 is available in your area.

Calling During a Service Interruption

If a service interruption prevents you from placing a VRS call, we recommend using a TTY to place your calls or other communication methods until the service is restored.

Purple Communications Product Agreement

Thank you for ordering a Purple product (“Purple Product”) from Purple. We at Purple hope you will enjoy your use of your Purple Product. If you have any problems with your Purple Product, you can contact our Customer Care at 877-885-3172 through your Purple Product or phone or you can e-mail us at support@purple.us. In return, we ask that you (1) provide us with some general information about yourself and permit us to contact you from time to time to provide you information about our services and ask you for feedback on your particular Purple Product; (2) promise not to transfer your Purple Product to someone else; and (3) promise not to tamper with your Purple Product, or to let anyone else tamper with it. We hope you enjoy the ability to use your Purple Product to communicate with Deaf, Hard of Hearing, and/or hearing people anytime you want! This Agreement shall be deemed effective as of the date on which your Purple Product is installed and/or the date you first use your Purple Product, whichever comes first. If requested, we will provide you with free training on use of the software (“Software”) that comes with the Purple Product. By using a Purple Product, you expressly warrant and represent that you have the authority and right to enter into this Agreement and agree to all of the terms and conditions contained herein.

1. Definitions In this Agreement, the following words shall have the following meanings: A. "Customer" shall mean the recipient/user of the Purple Product under this Agreement B. "Purple" shall mean Purple Communications, Inc. and its employees, independent contractors, and affiliated entities authorized to provide Customer with Purple Products under this Agreement. C. A “Video Relay Service” or “VRS” is a service which enables a user who is deaf, hard-of-hearing, or speech- disabled and who uses American Sign Language (“ASL”) to communicate with a standard voice telephone user through the Purple Product or other video equipment installed at the ASL user’s location and at the video interpreter’s location. D. “Purple Product” shall mean any Purple labeled Purple telecommunications device inclusive of P3 Mobile, P3 for PC, P3 for Mac, P70, SmartVP or the i³ and the features and functionalities of the particular Purple Product.

2. General Terms and Conditions

A. Customer represents and warrants to Purple that: (i) Customer is deaf or hard of hearing; (ii) Customer accepted the Purple Product solely for Customer’s own personal use; (iii) Customer will not disassemble or in any way reverse-engineer the Purple Product; (iv) Customer will not re-sell or transfer the Purple Product under any circumstances; (v) Customer will use reasonable efforts to keep the Purple Product safe and secure from thieves or vandals, unsupervised users, or any other external conditions that would likely damage the Purple Product or impair its functions.

B. Although Purple hopes that Customer will enjoy using the Purple Product, Customer’s decision to order a Purple Product does not create any obligation to make any Video Relay Service calls. Customer is free to make calls to and receive calls from any Video Relay Service provider over the Purple Product. Customer also is free to use the Purple Product to connect to any other deaf user. The Purple Product has been designed as part of the Purple solution. When Customer uses the Purple Product to connect to Purple’s Video Relay Service, Customer will reach a Purple authorized interpreter. This enables Purple to assure service quality and confidentiality. Customer may use our Software and Purple Product to place free VRS calls, to receive VRS calls, and to make and receive non-VRS point-to-point calls. We receive compensation from the federal TRS fund when you use one of our video interpreters to interpret a VRS call. Customer is responsible for obtaining broadband connectivity in order to be able to use our Software and the Purple Product; we do not provide broadband connectivity to Customers. If Customer chooses to use the Purple Product with another Video Relay Service provider that does not use Purple videophones or services, Purple cannot ensure the quality of service or video clarity of those calls.

C. Customer acknowledges that the Purple Product is being provided to Customer at no cost or a substantial discount due to the fact that the purchase price has been subsidized by Purple. Accordingly, Customer agrees that Customer will not sell, lease, or otherwise transfer possession of the Purple Product to any other person or entity or otherwise allow any other person or entity to use the Purple Product without the written consent of Purple (which consent may be withheld in its sole discretion). Customer acknowledges that Purple will disable the Purple Product and render it unusable and charge Customer a minimum of $250 as a recovery fee in the event that Purple determines that the Purple Product has been sold, leased or transferred or is otherwise being used in violation of these terms and conditions. Customer also acknowledges that Purple has the right and option to re-acquire the Purple Product in the event that it has been sold, leased, or transferred, or is otherwise being used in violation of this Agreement. Purple further reserves the right to pursue any and all other remedies available at law or in equity in the event of any unauthorized transfer of the Purple Product or other violation of this agreement.

D. Customer has the right to port the local ten-digit number(s) assigned by Purple to the Purple Product to a default provider other than Purple. If Customer ports to another provider the ten-digit number assigned to their Purple Product within six (6) months of receiving the Purple Product, Customer will owe Purple a handling fee in the amount of $100 to cover our shipping and handling costs of providing the Purple Product to Customer. Please note, if Customer ports the local ten-digit number assigned to their Purple Product that was obtained through a special offer to a default provider other than Purple within 12 months of receiving the Purple Product, Customer will owe Purple an Equipment License Fee, or “ELF,” which will amount to the retail purchase price of the product. The ELF decreases after the first 24 months to 50% of the retail purchase price. Customer may return the un-damaged Purple Product to Purple instead of paying the ELF. To initiate the return of the Purple Product to avoid paying an ELF, Customer can email support@purple.us or place a point-to-point call to 877-885-3172. If Customer fails to pay the ELF or return the Purple Product, Purple reserves the right to take legal action and/or disable the Purple Product.

E. Customer agrees not to use the Purple Product for any abusive, pornographic, lewd, obscene, harassing, fraudulent, or unlawful purposes and not to use the Purple Product in a way that interferes with Purple’s ability to provide VRS products or services to Customer or other customers. Purple shall have the right to immediately terminate, suspend, restrict, or cancel Customer’s use of the Purple Product without advance notice in the event that Purple becomes aware that Customer is or may be breaching the prohibitions of this agreement.

F. Purple reserves the right to investigate any abusive, pornographic, lewd, obscene, harassing, fraudulent, or unlawful use or access of the Purple Product or breach of this agreement and to seek reimbursement and for any and all damages that result or arise from such misuse. To the fullest extent allowed by law Purple will not be liable for any cost or damage arising either directly or indirectly from Customer’s use or misuse of the Purple Product. Further, Purple reserves the right to assure itself that Customer’s use of the Purple Product does not violate the terms and conditions of this agreement and to terminate this agreement and repossess the Purple Product immediately in the event of any violation.

G. VRS through Purple may not be available at all times due to unforeseen service interruptions, and/or technical problems. Further, all interpreters provided in conjunction with the video relay services of Purple may not always be immediately available at all times and Customer has no right to be provided access to any particular interpreter nor to become privy to the identity of any interpreters. Customer may, however, express a preference for the gender of the interpreter when a call is initiated or, if a transfer occurs, at the time the call is transferred to another interpreter, and Purple will make an effort to honor such a request.

H. All calls made through Purple are confidential. Purple will not disclose any information from Customer’s conversations, and will not keep any records of the content or substance of any conversations, other than as necessary to provide video mail service. Purple has implemented technology and security features and strict policy guidelines to safeguard the privacy of Customer’s video relay calls and any Customer-identifiable information from unauthorized access or improper use.

I. Customer understands and hereby acknowledges that Customer’s use of the Purple Product requires that Customer’s voice and/or image may be recorded and transmitted over the Internet. Customer further understands that due to the nature of the Internet, any privacy right, copyright or other right or interest in Customer’s voice, image or likeness may be lost with respect to any specific transmission as a result of such transmission. Customer authorizes and specifically grants permission to Purple to record and transmit Customer’s voice, likeness and/or image over the Internet solely for the purpose of use of VRS interpretation services, and further releases and agrees to hold Purple harmless from any and all responsibility for any such loss of rights and/or interests resulting from transmission of Customer’s voice, image and/or likeness over the internet. The foregoing shall not be construed as consent to the use of Customer’s voice, image or likeness for purposes other than for purposes of providing VRS. Except for the authorization and permission specifically granted to Purple in this agreement, Customer reserves all right, title and interest in and to any and all forms of Customer’s voice, image or likeness. Customer agrees to use or facilitate the use of the voice, image, and/or likeness of the Purple VRS interpreter in any way other than for the lawful use of the Purple Product for the purposes intended by Purple for performance of its VRS interpretation services. Purple shall have the right to immediately terminate, suspend, restrict, or cancel Customer’s use of the Purple Product without advance notice in the event that Purple becomes aware that Customer is or may be breaching the prohibitions of this paragraph.

J. Returns. To initiate the return of the Purple Product to avoid paying an ELF, Customer should email support@purple.us or place a point-to-point call to 877-885-3172. Once Customers have obtained the return information from Purple, Customer must return the Purple Product, at Customer expense, within forty-five (45) days of selecting another default provider. Customer must take every reasonable precaution to ensure the Purple Product is packed in a secure and safe manner to ensure it remains safe from damage while in shipment. If the Purple Product is damaged upon its delivery to Purple, Purple reserves the right to assess damages in accordance with this agreement. Customer is not authorized to and may not give any other provider of VRS, or any commercial entity working with or for any other provider of VRS, authority to return the Purple Product.

L. Stolen, Damaged or Defective Product. If the Purple Product has been stolen or appears to have been damaged, tampered with, or not functioning properly, Customer agrees to promptly e-mail us at support@purple.us, or, if possible, to contact our service staff through the Purple Product. Purple reserves the right to assess a charge to repair or replace a damaged or stolen Purple Product. Purple will not charge Customer for any repair made for us by the manufacturer under any manufacturer’s warranty. Customer further agrees that so long as Purple is the default provider for the telephone number(s) assigned to the Purple Product, only Purple may service or repair the Purple Product, and Customer will not allow anyone other than Purple, including but not limited to other VRS providers, to attempt to repair or service the Purple Product.

M. Returns for Repair. Should a Customer returns the Purple Product for repair, Purple will attempt to repair and restore the Purple Product to its original condition. As part of this process Purple cannot guarantee that the repaired Purple Product will contain any software applications, and/or files, that the Customer downloaded on their own to the Purple Product prior to its return for repair. In the event that the returned Purple Product is beyond repair, Purple may replace the damaged or defective device with a new Purple Product. If a Customer receives a new and replaced Purple Product, such Product will not contain the same software applications and/or files that the Customer previously downloaded or stored on their own to the Product. Purple recommends that Customers store any downloaded software and/or files in a backup storage location before returning the Purple Product.

N. The manufacturer of the Purple Product may set forth obligations and other terms and conditions applicable to a user of the Purple Product. As the user, Customer agrees to comply with any such obligations and to be bound by any additional manufacturer terms and conditions. These terms and conditions supplement the manufacturer’s terms and conditions, and to the extent there is a conflict between such terms, these terms and conditions shall take precedence.

O. If Customer is planning to move to a new address, Customer agrees to update the address in Customer’s profile account online or contact Purple at least 5 days in advance and inform Purple of the Customer’s new address.

3. Indemnification To maximum extent permitted by applicable law, Customer shall defend, indemnify, and hold harmless Purple and its subsidiaries, affiliates, and its directors, officers, employees, agents, and personnel against any losses, liabilities, damages, and expenses to the extent arising out of or related to Customer’s negligent act, negligent omission, breach of this agreement or willful misconduct. This provision will survive the termination of this agreement.

4. Limitations of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: i) PURPLEPURPLE SHALL NOT BE LIABLE WHATSOEVER FOR INDIRECT, CONSEQUENTIAL, EXEMPLARY, OR INCIDENTAL DAMAGES, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND ii) PURPLEPURPLE’ TOTAL LIABILITY TO CUSTOMER UNDER ALL CIRCUMSTANCES SHALL BE LIMITED TO THE PURCHASE PRICE PAID BY CUSTOMER FOR THE PURPLE PRODUCT. FURTHER, PURPLEPURPLE SHALL NOT HAVE ANY LIABILITY ARISING OUT OF OR RELATED TO CUSTOMER’S VIOLATION OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, OR CUSTOMER’S FAILURE TO INSTALL ANY SOFTWARE UPDATE PROVIDED BY PURPLEPURPLE IN A PROMPT MANNER. ADDITIONALLY, PURPLEPURPLE IS NOT LIABLE IN TORT, CONTRACT, OR OTHERWISE FOR ANY PERSONAL INJURY, PROPERTY DAMAGE, DEATH, OR OTHER HARM ARISING OUT OF OR RELATED TO USE OF THE PURPLE PRODUCT TO MAKE A 911 OR SIMILAR EMERGENCY CALL.

5. Warranties
Products.The only warranty provided with any Purple Product, including without limitation related and included Software, or any item manufactured or produced by a third party that was sold or provided by Purple pursuant to this Agreement, is that the Purple Product will be functional for VRS in the United States and the express or implied warranty from the manufacturer directly to Customer. PURPLE DOES NOT ADOPT ANY MANUFACTURER’S WARRANTY. This represents Customer’s sole and exclusive remedy with respect to any Purple Product or items manufactured or produced by third parties. Notwithstanding the foregoing, to the extent possible, and subject to availability, Purple will replace or repair any non-functioning PURPLE Product upon Customer’s request. Customer understands that Purple may either repair the non-functioning Purple Product, or replace it with either a new or factory reconditioned unit.
Limited Warranty for Services. For all Services, inclusive of installation Services, Purple warrants that the Services will be performed in a professional and competent manner taking into account all reasonably known external risks at the time the Services are performed.
Extent of Warranties and Limitations of Liability. Purple shall not be responsible for any damage suffered as a result of misuse, accident, modification, failure to properly maintain or operate any Purple Product or Software in a suitable physical or operating environment in accordance with relevant manufacturer specifications, improper maintenance by Customer, or failure caused by equipment, products, or software Purple did not provide.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OTHER THAN THE EXPRESS WARRANTIES SET FORTH ABOVE, ALL PURPLE PRODUCTS AND SERVICES, INCLUDING WITHOUT LIMITATION INSTALLATION SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. PURPLEPURPLE SPECIFICALLY DISCLAIMS ANY AND ALL OTHER WARRANTIES AND REPRESENTATIONS (WHETHER EXPRESS, IMPLIED, STATUTORY, ORAL, OR WRITTEN) INCLUDING, WITHOUT LIMITATION, ANY AND ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR INFRINGEMENT, OR THAT ANY PURPLE PRODUCT WILL BE ERROR FREE. PURPLEPURPLE SHALL, TO THE EXTENT PERMITTED, PASS THROUGH TO CUSTOMER ANY WARRANTIES PROVIDED TO PURPLEPURPLE BY THE MANUFACTURER OF ANY PURPLE PRODUCT PROVIDED TO CUSTOMER HEREUNDER. THE MANUFACTURER’S WARRANTY PASSED THROUGH BY PURPLEPURPLE TO CUSTOMER, IF ANY, SHALL BE IN LIEU OF ALL OTHER WARRANTIES. THIS WAIVER OF WARRANTIES APPLIES TO THE FULL EXTENT ALLOWED BY APPLICABLE LAW.

6. Intellectual Property
The Purple Product includes proprietary hardware, software, documentation and related materials, and all of these proprietary materials are protected by copyright, trademark, trade secret, and other intellectual property law, all of which remain vested in Purple.

7. Miscellaneous
A. Acts Beyond Purple’s Control. Purple will not be responsible to Customer for any delay, failure in performance, loss or damage due to fire, explosion, power blackout, earthquake, volcanic action, flood, the weather elements, strike, embargo, labor disputes, civil or military authority, war, terrorism, acts of God, acts or omissions of carriers or suppliers, acts of regulatory or governmental agencies, or other causes beyond Purple’s reasonable control.

B. Assignment. Customer may not assign this Agreement or Customer’s right to use the Purple Product without the prior written consent of Purple (which may be withheld in its sole discretion).

C. Entire Agreement. This Agreement constitutes the entire agreement between Customer and Purple and supersedes all prior agreements, understandings, statements or proposals, and representations, whether written or oral, regarding the Purple Product. No written or oral statement, advertisement, or service description not expressly contained in the agreement will be allowed to contradict, explain, or supplement it. Neither Customer nor Purple is relying on any representations or statements by the other party or any other person that are not included in this agreement.

D. Governing Law. This agreement will be governed by the law of the State of California, without regard to its choice of law rules. This governing law provision applies no matter where Customer resides, or where Customers uses or pays for the Purple Product.

E. No Third Party Rights. This Agreement does not provide any third party with a remedy, claim, or right of reimbursement.

F. Notices. Notices from Customer to Purple must be delivered to the following address: Purple, 595 Menlo Drive, Rocklin, CA 95765. Purple’s notice to Customer, to the extent applicable, may be made by a posting on our web site, newspaper ad, postcard, letter, call to Customer’s billed telephone number, or an e-mail to an address provided by Customer to Purple.

G. Remedies. Customer agrees that, in the event Customer breaches, or threatens to breach, any term or condition of this agreement, Purple shall immediately be entitled to seek all remedies available to it, at law and in equity. In the event that it becomes necessary for Purple to seek injunctive relief, Purple shall not be required to post a bond or other security.

H. Severability. If any part of this Agreement is found invalid, the rest of the Agreement will remain valid and enforceable. This Section 6 of the agreement will continue to apply after the agreement ends. This agreement shall be deemed effective as of the date that the Purple Product is delivered to Customer and/or the date Customer first uses the Purple, whichever comes first. By using the Purple Product, Customer expressly warrants and represents that Customer has the authority and right to enter into this Agreement and agrees to all of the terms and conditions contained herein. In the event Customer does not agree to all of the terms and conditions contained herein, Customer shall immediately return the Purple Product to Purple at Customer’s expense.

The use of the Purple Product certifies that Customer has fully read and understands the terms of this agreement. Customer understands that the installation, use, and continued functionality of the Purple Products identified in this agreement are contingent upon Customer agreeing to and abiding by the provisions contained herein.

Emergency services notice: Service using the Purple Product or any of our related services may not be available at all times due to a range of factors, including without limitation, power outage, service interruptions, technical problems, system upgrades, congestion and/or maintenance. For these reasons PURPLE STRONGLY RECOMMENDS THAT CUSTOMERS MAINTAIN FUNCTIONAL TTY OR CAPTIONED TELEPHONE LANDLINE DEVICES TO BE USED IN THE EVENT OF AN EMERGENCY.

G. VRS through Purple may not be available at all times due to unforeseen service interruptions, and/or technical problems. Further, all interpreters provided in conjunction with the video relay services of Purple may not always be immediately available at all times and Customer has no right to be provided access to any particular interpreter nor to become privy to the identity of any interpreters. Customer may, however, express a preference for the gender of the interpreter when a call is initiated or, if a transfer occurs, at the time the call is transferred to another interpreter, and Purple will make an effort to honor such a request.

Customer authorizes and specifically grants permission to Purple to record and transmit Customer’s voice, likeness and/or image over the Internet solely for the purpose of use of VRS interpretation services, and further releases and agrees to hold Purple harmless from any and all responsibility for any such loss of rights and/or interests resulting from transmission of Customer’s voice, image and/or likeness over the internet. The foregoing shall not be construed as consent to the use of Customer’s voice, image or likeness for purposes other than for purposes of providing VRS. Except for the authorization and permission specifically granted to Purple in this agreement, Customer reserves all right, title and interest in and to any and all forms of Customer’s voice, image or likeness. Customer agrees to use or facilitate the use of the voice, image, and/or likeness of the Purple VRS interpreter in any way other than for the lawful use of the Purple Product for the purposes intended by Purple for performance of its VRS interpretation services. Purple shall have the right to immediately terminate, suspend, restrict, or cancel Customer’s use of the Purple Product without advance notice in the event that Purple becomes aware that Customer is or may be breaching the prohibitions of this paragraph.

J. Returns. To initiate the return of the Purple Product to avoid paying an ELF, Customer should email support@purple.us or place a point-to-point call to 877-885-3172. Once Customers have obtained the return information from Purple, Customer must return the Purple Product, at Customer expense, within forty-five (45) days of selecting another default provider. Customer must take every reasonable precaution to ensure the Purple Product is packed in a secure and safe manner to ensure it remains safe from damage while in shipment. If the Purple Product is damaged upon its delivery to Purple, Purple reserves the right to assess damages in accordance with this agreement. Customer is not authorized to and may not give any other provider of VRS, or any commercial entity working with or for any other provider of VRS, authority to return the Purple Product.

L. Stolen, Damaged or Defective Product. If the Purple Product has been stolen or appears to have been damaged, tampered with, or not functioning properly, Customer agrees to promptly e-mail us at support@purple.us, or, if possible, to contact our service staff through the Purple Product. Purple reserves the right to assess a charge to repair or replace a damaged or stolen Purple Product. Purple will not charge Customer for any repair made for us by the manufacturer under any manufacturer’s warranty. Customer further agrees that so long as Purple is the default provider for the telephone number(s) assigned to the Purple Product, only Purple may service or repair the Purple Product, and Customer will not allow anyone other than Purple, including but not limited to other VRS providers, to attempt to repair or service the Purple Product.

M. Returns for Repair. Should a Customer returns the Purple Product for repair, Purple will attempt to repair and restore the Purple Product to its original condition. As part of this process Purple cannot guarantee that the repaired Purple Product will contain any software applications, and/or files, that the Customer downloaded on their own to the Purple Product prior to its return for repair. In the event that the returned Purple Product is beyond repair, Purple may replace the damaged or defective device with a new Purple Product. If a Customer receives a new and replaced Purple Product, such Product will not contain the same software applications and/or files that the Customer previously downloaded or stored on their own to the Product. Purple recommends that Customers store any downloaded software and/or files in a backup storage location before returning the Purple Product.

N. The manufacturer of the Purple Product may set forth obligations and other terms and conditions applicable to a user of the Purple Product. As the user, Customer agrees to comply with any such obligations and to be bound by any additional manufacturer terms and conditions. These terms and conditions supplement the manufacturer’s terms and conditions, and to the extent there is a conflict between such terms, these terms and conditions shall take precedence.

O. If Customer is planning to move to a new address, Customer agrees to update the address in Customer’s profile account online or contact Purple at least 5 days in advance and inform Purple of the Customer’s new address.

3. Indemnification To maximum extent permitted by applicable law, Customer shall defend, indemnify, and hold harmless Purple and its subsidiaries, affiliates, and its directors, officers, employees, agents, and personnel against any losses, liabilities, damages, and expenses to the extent arising out of or related to Customer’s negligent act, negligent omission, breach of this agreement or willful misconduct. This provision will survive the termination of this agreement.

4. Limitations of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: i) PURPLEPURPLE SHALL NOT BE LIABLE WHATSOEVER FOR INDIRECT, CONSEQUENTIAL, EXEMPLARY, OR INCIDENTAL DAMAGES, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND ii) PURPLEPURPLE’ TOTAL LIABILITY TO CUSTOMER UNDER ALL CIRCUMSTANCES SHALL BE LIMITED TO THE PURCHASE PRICE PAID BY CUSTOMER FOR THE PURPLE PRODUCT. FURTHER, PURPLEPURPLE SHALL NOT HAVE ANY LIABILITY ARISING OUT OF OR RELATED TO CUSTOMER’S VIOLATION OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, OR CUSTOMER’S FAILURE TO INSTALL ANY SOFTWARE UPDATE PROVIDED BY PURPLEPURPLE IN A PROMPT MANNER. ADDITIONALLY, PURPLEPURPLE IS NOT LIABLE IN TORT, CONTRACT, OR OTHERWISE FOR ANY PERSONAL INJURY, PROPERTY DAMAGE, DEATH, OR OTHER HARM ARISING OUT OF OR RELATED TO USE OF THE PURPLE PRODUCT TO MAKE A 911 OR SIMILAR EMERGENCY CALL.

5. Warranties
Products.The only warranty provided with any Purple Product, including without limitation related and included Software, or any item manufactured or produced by a third party that was sold or provided by Purple pursuant to this Agreement, is that the Purple Product will be functional for VRS in the United States and the express or implied warranty from the manufacturer directly to Customer. PURPLE DOES NOT ADOPT ANY MANUFACTURER’S WARRANTY. This represents Customer’s sole and exclusive remedy with respect to any Purple Product or items manufactured or produced by third parties. Notwithstanding the foregoing, to the extent possible, and subject to availability, Purple will replace or repair any non-functioning PURPLE Product upon Customer’s request. Customer understands that Purple may either repair the non-functioning Purple Product, or replace it with either a new or factory reconditioned unit.
Limited Warranty for Services. For all Services, inclusive of installation Services, Purple warrants that the Services will be performed in a professional and competent manner taking into account all reasonably known external risks at the time the Services are performed.
Extent of Warranties and Limitations of Liability. Purple shall not be responsible for any damage suffered as a result of misuse, accident, modification, failure to properly maintain or operate any Purple Product or Software in a suitable physical or operating environment in accordance with relevant manufacturer specifications, improper maintenance by Customer, or failure caused by equipment, products, or software Purple did not provide.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OTHER THAN THE EXPRESS WARRANTIES SET FORTH ABOVE, ALL PURPLE PRODUCTS AND SERVICES, INCLUDING WITHOUT LIMITATION INSTALLATION SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. PURPLEPURPLE SPECIFICALLY DISCLAIMS ANY AND ALL OTHER WARRANTIES AND REPRESENTATIONS (WHETHER EXPRESS, IMPLIED, STATUTORY, ORAL, OR WRITTEN) INCLUDING, WITHOUT LIMITATION, ANY AND ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR INFRINGEMENT, OR THAT ANY PURPLE PRODUCT WILL BE ERROR FREE. PURPLEPURPLE SHALL, TO THE EXTENT PERMITTED, PASS THROUGH TO CUSTOMER ANY WARRANTIES PROVIDED TO PURPLEPURPLE BY THE MANUFACTURER OF ANY PURPLE PRODUCT PROVIDED TO CUSTOMER HEREUNDER. THE MANUFACTURER’S WARRANTY PASSED THROUGH BY PURPLEPURPLE TO CUSTOMER, IF ANY, SHALL BE IN LIEU OF ALL OTHER WARRANTIES. THIS WAIVER OF WARRANTIES APPLIES TO THE FULL EXTENT ALLOWED BY APPLICABLE LAW.

6. Intellectual Property
The Purple Product includes proprietary hardware, software, documentation and related materials, and all of these proprietary materials are protected by copyright, trademark, trade secret, and other intellectual property law, all of which remain vested in Purple.

7. Miscellaneous
A. Acts Beyond Purple’s Control. Purple will not be responsible to Customer for any delay, failure in performance, loss or damage due to fire, explosion, power blackout, earthquake, volcanic action, flood, the weather elements, strike, embargo, labor disputes, civil or military authority, war, terrorism, acts of God, acts or omissions of carriers or suppliers, acts of regulatory or governmental agencies, or other causes beyond Purple’s reasonable control.

B. Assignment. Customer may not assign this Agreement or Customer’s right to use the Purple Product without the prior written consent of Purple (which may be withheld in its sole discretion).

C. Entire Agreement. This Agreement constitutes the entire agreement between Customer and Purple and supersedes all prior agreements, understandings, statements or proposals, and representations, whether written or oral, regarding the Purple Product. No written or oral statement, advertisement, or service description not expressly contained in the agreement will be allowed to contradict, explain, or supplement it. Neither Customer nor Purple is relying on any representations or statements by the other party or any other person that are not included in this agreement.

D. Governing Law. This agreement will be governed by the law of the State of California, without regard to its choice of law rules. This governing law provision applies no matter where Customer resides, or where Customers uses or pays for the Purple Product.

E. No Third Party Rights. This Agreement does not provide any third party with a remedy, claim, or right of reimbursement.

F. Notices. Notices from Customer to Purple must be delivered to the following address: Purple, 595 Menlo Drive, Rocklin, CA 95765. Purple’s notice to Customer, to the extent applicable, may be made by a posting on our web site, newspaper ad, postcard, letter, call to Customer’s billed telephone number, or an e-mail to an address provided by Customer to Purple.

G. Remedies. Customer agrees that, in the event Customer breaches, or threatens to breach, any term or condition of this agreement, Purple shall immediately be entitled to seek all remedies available to it, at law and in equity. In the event that it becomes necessary for Purple to seek injunctive relief, Purple shall not be required to post a bond or other security.

H. Severability. If any part of this Agreement is found invalid, the rest of the Agreement will remain valid and enforceable. This Section 6 of the agreement will continue to apply after the agreement ends. This agreement shall be deemed effective as of the date that the Purple Product is delivered to Customer and/or the date Customer first uses the Purple, whichever comes first. By using the Purple Product, Customer expressly warrants and represents that Customer has the authority and right to enter into this Agreement and agrees to all of the terms and conditions contained herein. In the event Customer does not agree to all of the terms and conditions contained herein, Customer shall immediately return the Purple Product to Purple at Customer’s expense.

The use of the Purple Product certifies that Customer has fully read and understands the terms of this agreement. Customer understands that the installation, use, and continued functionality of the Purple Products identified in this agreement are contingent upon Customer agreeing to and abiding by the provisions contained herein.

Emergency services notice: Service using the Purple Product or any of our related services may not be available at all times due to a range of factors, including without limitation, power outage, service interruptions, technical problems, system upgrades, congestion and/or maintenance. For these reasons PURPLE STRONGLY RECOMMENDS THAT CUSTOMERS MAINTAIN FUNCTIONAL TTY OR CAPTIONED TELEPHONE LANDLINE DEVICES TO BE USED IN THE EVENT OF AN EMERGENCY.
